The Office of General Counsel for The Auto Club Group (ACG) is responsible for providing legal advice and counsel to business units throughout the organization. Corporate specialties include, but are not limited to: Anti-trust, Bankruptcy, Litigation, Compliance, Computer Licensing, Contracts, Copyrights, Corporate Law, Employment Law, Employee Benefits, Financial Operations, Insurance Operations/Regulations, Real Estate Property and Zoning.
Primary Duties and Responsibilities:
As Counsel – Corporate & Real Estate, you will directly engage with business partners in support of contract, real estate and corporate business matters.
Real Estate
Provide legal advice and counsel to clients on various legal risks, business strategies, and other issues related to the purchase, sale, development, construction, financing, and leasing of commercial real estate
Oversee outside counsel in the due diligence review of documents, including surveys, title policies, leases, mortgage documents, organizational documents, etc.
Contracts
Draft, review and negotiate a wide variety of commercial agreements, including those related to strategic partnerships, marketing vendors, and SaaS subscription and technology agreements
Administers contract strategy to improve business performance and ensure compliance with company policies and legal requirements
Additional Duties:
Provide technical oversight and legal advice regarding the complex and important matters pertaining to corporate issues.
Act as the legal authority in specific disciplines due to experience, vision, commitment and/or educational background within their specialty.
Advocate a strong team and client relationship within the company and with the various organizations, agencies and professional legal authorities.
Monitor and assist outside counsel in defense of the company.
Act as a project manager for projects having corporate impact.
Research and analyze technical and specialized legal questions and issues as they relate to specific disciplines. Develop and recommend legal strategies and prepare any necessary material to keep senior management informed regarding achievement of objectives and accomplishments of stated goals.
Advise senior management on the legal ramifications of corporate decisions and organization practices.
Assist management with short and long term business plans and identifies opportunities to improve department performance and effectiveness
Counsel and advise senior management on a broad range of corporate issues.
Advise senior management on the legal/regulatory ramifications of corporate decisions and organization practices.
QualificationsRequired Qualifications:
Juris Doctor Degree
Active Member of a State Bar in good standing
Recent and substantive experience in all aspects of commercial real estate law.

Specific expertise in one or more of the following:
Corporate law, including corporate organization, operations, contract negotiations, mergers/acquisitions, finance, Et. Al.
Commercial litigation to include all aspects of the litigation process, including assessing risk, developing strategy, partnering with outside counsel, reviewing pleadings, and ensuring compliance with e-discovery requirements
Real Estate to include zoning, construction, property management, building services, corporate facilities and the regulatory issues related thereto
The successful candidate must have the ability to identify and analyze complex legal issues, draft and negotiate a variety of commercial contract agreements and real estate transaction agreements.
Knowledge of Microsoft Office Suite
Experience:
Five or more years of progressive legal experience
