Sr Manager, Corporate Counsel

The Corporate Counsel, One Lambda Inc. (TDX)/ Specialty Diagnostics Group (SDG) will work closely with the Contract Management team and SDG Legal team, other members of the Global Legal Department, business leaders, Risk Management, Corporate Accounts, marketing and sourcing teams in assessing risk and negotiating and drafting commercial contracts (including terms and conditions of product sales and purchase), service, marketing, distribution, license, development, consulting, and government agreements.

Key Responsibilities:

  • Provide ongoing advice and support principally related to commercial contracts, proposals, RFPs, and RFQs, including the drafting, review, and negotiation of contracts
  • Provide advice regarding customer and other commercial/business disputes, including collections, bankruptcy and contract breaches
Provide training to the global organization on a range of matters, including commercial contracts, product liability issues, government contracts, FCPA, marketing, and other compliance matters
  • Monitor and administer contract review as well as other approval processes and policies
  • Provide legal support to Corporate and Group marketing, communications, procurement and e-commerce organizations, as needed
  • Provide leadership, legal advice, and drive solutions on a range of legal, business and compliance matters, including government contracts, commercial antitrust, marketing, anti-bribery/FCPA, fraud and abuse, US Affordable Care Act, the US Sunshine/Open Payments Act and global equivalents, products liability, and data privacy (US and global)
  • Lead contract management team and cross-functional teams within business units and legal department to resolve pressing business matters
Requirements/Qualifications:
  • Bachelor’s degree required
  • Juris Doctorate 8+ years required
  • Strong analytical ability
  • Strong interpersonal skills
  • Strong oral and written communication skills
  • Member in good standing with an US state bar, ability to be registered in-house
  • 6+ years of direct experience with commercial contracts and general commercial law background
  • Experience in some of the following legal and compliance areas: government contracts, commercial antitrust, marketing, anti-bribery/FCPA, transparency laws, including Sunshine Act/Open Payment, FDA, fraud and abuse, products liability, and data privacy
  • Proven negotiation abilities and business acumen
  • Experience developing and implementing legal solutions
  • In-house experience strongly preferred
  • Supervision of legal and non-legal team members
  • Ability to maintain strict confidentiality of sensitive information
