Description

Nuvve Corp. is a San Diego based company, whose mission is to lower the cost of electrical vehicle (EV) ownership while supporting the integration of renewable energy sources, such as wind and solar. Our Grid Integrated Vehicle platform GIVe™ transforms EVs into grid assets when charging while guaranteeing the expected level of charge when the vehicle owner needs it. The aggregation of thousands of electric vehicles into a virtual power plant using the GIVe platform, allows Nuvve to participate in electricity markets with a power capacity comparable to traditional generators. Based on “Vehicle To Grid” technology or “v2g” the GIVe platform gives benefits to public organizations, businesses and homes by reducing the cost of electric infrastructure and reducing CO2 emissions.

Nuvve seeks a qualified General Counsel to advise its management team and to assume oversight responsibility for Nuvve’s legal, regulatory, intellectual property, merger/acquisition, and securities functions. This is a full-time executive position with 100% company paid benefits.

Requirements

Responsibilities and Duties:

• Serve as Chief Legal Officer/General Counsel to the Company, overseeing general corporate governance, securities and intellectual property matters, commercial contracts, litigation, employment, and policy.

• Advise executive team and board on all global legal, compliance, and reporting matters.

• Partner with senior executive team on key strategic and operational decisions.

• Develop and lead corporate legal strategy to promote and protect Company’s business and enhance its value for shareholders.

• Manage all areas of corporate governance, overseeing administration of board activities and corporate records of the Company.

• Manage Company contractual documents and provide legal advice on matters of negotiation and performance.

• Maintain proper communication with and guidance from all relevant local, state, federal, and international bodies, regulators, legislators, and key communities.

• Establish credibility internally and externally while maintaining strategic accountability.

• Select, direct, and oversee all outside counsel relationships as required and competently manage the Company’s budget for outside legal services.

• Build an internal team of experienced specialist lawyers and paralegals to support the Company’s needs

• Enhance and improve on an ongoing basis all aspects of the Company’s legal and policy function, guided by the Company’s operational directives and strategic plans.

• Support a culture of high performance, accountability, collaboration, and trust

• Provide hands-on mentorship, guidance, and transparency to direct reports and outside counsel and consultants.

• Monitor legislation, rule-making, and opportunities for comment and flag substantive policy and political opportunities and risks to the Company’s business.

• Gain and utilize a deep understanding of Nuvve technology and markets domestically and internationally in order to appropriately communicate its mission.

Qualifications / Skills / Experience / Competencies:

• Fifteen to twenty years’ legal experience, ideally in the setting of energy and technology, in a responsible management capacity

• Experience in/exposure to all areas relevant to above responsibilities

• Familiarity with public company reporting requirements

• High ethical standards and strong work ethic with outstanding character and reputation

• Strong analytical and risk-management skills and accountability

• Demonstrated administrative and/or management capability

• Fluency in technical terminology and ability to comprehend technical specifications and standards

• Strong understanding of the policy and political context in which Nuvve operates

• Strong network of bipartisan relationships and ability to collaborate with organizations that shape the relevant political and policy environment

• Ideal candidate will have a technical, engineering, or energy-related background
