Senior Corporate Paralegal

Aledade is looking for a Senior Corporate Paralegal to join our growing legal team! The senior corporate paralegal will manage the paralegal and legal assistant, and work directly with our attorneys to help with all aspects of Aledade’s business. This individual must have prior paralegal management experience, be extremely organized, detail oriented, work well in a team environment and excited to take on new responsibilities.

Responsibilities include, but are not limited to:

    • Creating and maintaining corporate records, such as minute books, the capitalization table, option paperwork, and stock certificates.
    • Serving as liaison between attorneys and paralegals, ensuring projects are completed accurately and timely and resolving conflicts between project deadlines as needed.
    • Drafting and managing various governing documents such as operating agreements, resolutions, and minutes.
    • Preparing state filings for formation, annual reports, amendments, dissolutions, and business registrations in various jurisdictions across the US.
    • Preparing various tax forms as well as obtaining EINs.
    • Conducting due diligence, preparing disclosure schedules, and maintaining data rooms.
    • Preparing correspondence to government agencies or internal clients as needed.
    • Performing other duties as directed by the legal team.

Desired Qualifications:

    • Minimum of 5+ years’ of paralegal experience, preferably in an inhouse legal department for a tech company, as well as 2+ years of supervisory experience in a law firm or corporate legal setting.
    • Familiarity with cap tables and Shareworks software.
    • Unwavering attention to detail and superior organizational skills.
    • Excellent communication skills both verbally and written.
    • Attention to detail and meticulous organizational skills.
    • Strong research and report-generating skills.
    • Industry recognized paralegal certification.
    • Proficiency in Google Suite and various document management systems.
    • Interacts with others in a positive, respectful, and considerate manner. Ability to communicate effectively and professionally.
    • Ability to work in a team environment while also delivering independent results.
    • Demonstrated ability to work under competing deadlines and adjust responsibilities in response to recalibrated business needs.
    • Commitment to discreetly handling confidential information.
    • Ability to be flexible and scale with our extremely fast-paced, thriving startup environment.
    • Thinks beyond their immediate team and contributes to making Aledade holistically better (active engagement in D&I efforts, culture initiatives, facilitating training, leading roundtables, etc.)
