Enviva is seeking a bright and well-organized Paralegal to assist the Vice President, Associate General Counsel, Chief Compliance Officer and Secretary with corporate governance matters. The Paralegal will assist with all aspects of public company (NYSE) corporate governance, as well as provide legal and administrative support to a dynamic and growing legal team.


Corporate Governance

Coordinate all logistical and other aspects of Board and Committee meetings, including collecting and collating slides and other docket materials and coordinating Board member travel arrangements.

Assist AGC with preparation and coordination of execution of Securities and Exchange Commission filings, including Form 8-K and Section 16 filings.

Assist AGC with preparation of Board and Committee minutes and written consents.

Maintain all corporate records, including organizational documents, resolutions, and written consents.

Interface with external transfer agents (e.g., AST) in connection with transfers of equity securities.

Produce documents related to corporate entity formations, conversions, and dissolutions, including foreign qualifications and EINs.

Coordinate and receive Board member and executive officer signatures for documents

Legal and Administrative

Produce documents related to the development and implementation of corporate policies.

Providing administrative support for documents and activities related to mergers, acquisitions, formations, and dissolutions.

Coordinate outside legal counsel review where appropriate.

Maintain the Company's intellectual property portfolio.

Work with other members of the legal team on special projects and initiatives.

Prepare basic legal documents, conduct basic legal research and perform related administrative duties.

Help structure and implement a more logical electronic filing system.


Excellent organizational and communication skills (oral and written) and strong attention to detail;

Excellent interpersonal skills and professionalism, with demonstrated proficiency communicating verbally and electronically with Board members and executive leadership;

[4+] years of experience as a paralegal in a law firm or in-house legal department;

High degree of proficiency in corporate governance and entity management;

Familiarity navigating the Securities Exchange Commission Electronic Data Gathering and Retrieval ("EDGAR") System;

Knowledge of NYSE listing company requirements;

Familiarity with the structure and operations of master limited partnerships (MLPs) is a plus.
