Tetra Tech is currently seeking a Senior Legal Affairs and Operations Specialist to work in our Pasadena, CA corporate headquarters. In this position you will support the Senior Vice President, General Counsel with all stages of corporate transactions. The ideal candidate will have experience in a corporate legal role and will be a self-starter that is savvy and has extraordinary organizational skills.


Your Role:

  • Prepare corporate governance documents including secretary certificates, officer and director appointments, resolutions, minutes and other documentation related to corporate secretarial requests
  • Prepare U.S. and non-U.S. documentation for formations, amendments, annual filings, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies
  • Maintain corporate minute books for entities
  • Perform annual audits of entities - maintain accuracy of electronic entity database, identify entities for dissolutions, clean-up of officers and directors, and housekeeping
  • Draft and review power of attorney, certifications and other documents required for international registrations, bank accounts, and client processes
  • Assist business units with specific international filing requests
  • Assist with preparation of SEC filings (Forms 3, 4, 5 and 8-K)
  • Analyze contracts, leases and other legal documents to summarize key data
  • Support merger and acquisition transactions, including due diligence, document preparation (including nondisclosure, purchase and transition services agreements and closing certificates and books) and post-closing integration and administration
  • Draft basic corporate agreements (using templates, e.g. NDAs)
  • Prepare management presentations
  • Perform legal and other research as requested
  • Process legal invoices
  • Manage ethics and compliance activities, including trainings, policy revisions, questions and vendor relationship
  • Manage domestic and international trademark, copyright and domain name portfolios
  • Oversee document management for Legal Department
  • Liaise with tax, finance and human resources departments as well as company auditors

Qualifications:

  • Bachelor’s Degree and completion of an ABA-approved paralegal program preferred
  • 7 plus years of experience, preferably as part of an in-house corporate legal team
  • Notary required
  • Proactive, highly organized and detail-oriented individual with the ability to multi-task and consistently meet aggressive and time-sensitive deadlines
  • Outstanding verbal and written communication skills to effectively work with various departments and levels within company
  • Strong Microsoft Office (Word, Excel, PowerPoint, Outlook), as well as working knowledge of hCue, Visio and Legal Tracker
