Summary:

Manages legal business matters pertaining to the organization especially in matters of Transactional Law such as drafting and negotiating Enterprise Software licensing agreements, End User and Reseller Licensing Agreements, Customer/Vendor Agreements, Commercial Contracts and deep familiarity with the complexity of these agreements. In addition, the ideal candidate will provide a variety of general corporate and commercial legal services to a number of in-house clients and will act as advisor on legal issues involving trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry as well as SEC reporting. May perform litigation on the company’s behalf or coordinate litigation and other legal matters handled by outside counsel. Demonstrates experience in Intellectual Property (IP), immigration law, employment law, data privacy , risk management asset-backed financing and contract management.

Responsibilities:

  • Advise on various business transactions, particularly in the areas of technology licensing and agreements, procurement, sales, strategic partnerships, and general commercial matters.
  • Provide legal support to various departments on complex business transactions, and propose solutions which balance the risk/benefit.
  • Draft, review, and negotiate agreements to safeguard the company’s interest.
  • Overseeing litigation matters and disputes with third parties, including coordination of internal resources, outside counsel, insurance carriers and service providers.
  • Develop case strategy, write and edit briefs and motions, conduct fact investigations, identify and interview witnesses, attend and/or conduct depositions.
  • Perform legal research; and as required, prepare legal briefs, opinions and memoranda, court pleadings, responses to state and federal agency complaints. Provide day-to-day legal advice and counseling on various legal issues as they arise.
  • Additional duties and responsibilities, as assigned, in support of the corporate and legal functions of the organization.

Skills, Experience and Education
(Resume experience should reflect some or most of):

  • 5-10 years of experience practicing law with a focus on general transactional (contract) matters (Software, Internet or Technology preferred).
  • Experience as in-house corporate counsel.
  • Excellent contract negotiation skills, preferably in the areas of (i) complex transactions and (ii) and technology licensing.
  • Experience with IP, advertising law, litigation management, contracts, and compliance including privacy, antitrust, and anti-bribery.
  • Demonstrated ability to implement legal strategies to meet business goals.
  • Law degree from accredited law school.
  • Admission to Tennessee State Bar.
  • Ability to effectively communicate and interface successfully with executives and all levels of internal and external clients to develop and maintain good working relationships.
  • Must be experienced in basic personal computer operation and capable of effectively using standard Windows applications
  • (spreadsheet, word processing, internet, and e-mail) to generate required reports and analytical data
