Associate General Counsel will focus on contractual and transactional work along with compliance and other company related legal matters. This role is an integral part of the legal team and reports to the Executive Vice President-General Counsel.

Essential Job Duties and Responsibilities

  • Lead process of drafting of proxy statements and assist in other periodic public reporting
  • Support all aspects of our corporate governance programs, ongoing securities compliance, including board and committee support
  • Draft, review and negotiate complex commercial contracts
  • Assist in M&A and capital financing transactions
  • Advise and collaborate with internal teams, including Marketing, Procurement, HR, IT, Finance, and other departments
  • Track applicable regulatory developments and advise on various compliance issues
  • Provide support in a wide range of in-house legal services on an as-needed basis

Education and/or Experience

  • J.D. degree from an accredited law school required
  • Licensed to practice law in a US state
  • 5+ years of relevant experience in a law firm and/or corporate legal department

Skills/Specialized Knowledge

  • The Associate General Counsel will work closely with the executive team and cross functional leadership on projects and initiatives
  • The position requires a demonstrated ability to be proactive, exercise judgment and manage multiple projects simultaneously
  • The ideal candidate will be collaborative and be able to build strong relationships with internal clients
  • The candidate must demonstrate success working in a high-performing, business results-driven environment
  • Experience with data privacy and corporate compliance is a plus
