Job Description:

The Senior Counsel – Commercial Transactions will be a member of Envista’s in-house legal team, representing the company’s broad portfolio of dental businesses, providing support to Envista’s global commercial operations. This lawyer will be report to the relevant operating company General Counsel and be responsible for partnering with business clients and other members of the global in-house legal and compliance team in effectively structuring, negotiating and documenting transactions involving Envista’s diverse oral health product offerings. This lawyer may also supervise outside counsel providing special advice on transactions requiring additional support domestically and outside the U.S. This lawyer will work on a wide range of matters, including general commercial matters, licensing, competition law, marketing, healthcare regulatory and other matters.

Responsibilities

  • Working collaboratively with the Envista and portfolio business legal and compliance teams to counsel, structure, negotiate and document transactional matters
  • Managing and working collaboratively with outside counsel, as required
  • Gaining a solid understanding of relevant Envsta businesses, their goals, and challenges and identifying appropriate legal and compliance strategies to facilitate those goals and minimize those challenges
  • Advising on day-to-day general compliance questions and questions under local civil, commercial, corporate, conflicts of interest, data protection and privacy laws.
  • Legal research
  • Drafting of legal documents, including contracts, licenses, letters, and related business correspondence on behalf of the relevant business unit
  • Reporting and responding to the General Counsel, and working closely with colleagues globally including other in-house attorneys and the compliance teams on a broad variety of business, compliance and commercial issues
  • Performs miscellaneous job-related duties as assigned.

Job Requirements:

  • JD Degree from an accredited law school and California Bar Admission (or willingness to pursue admission to the California Bar immediately upon hiring)
  • 7+ years of transactional experience, including law firm and in-house experience

  • Experience dealing with healthcare authority regulations pertaining to the marketing and sales of medical devices and/or pharmaceuticals
  • Ability to work independently and collaboratively as part of a team
  • Ability to work effectively under pressure; managing multiple priorities and conflicting deadlines
  • Excellent communication skills
  • Excellent negotiating skills
