OVERVIEW:

We are looking for a hardworking individual who possesses a unique combination of skills, knowledge and abilities that include, but are not limited to professional and polished demeanor, highly intelligent, ability to juggle conflicting priorities, exceptional follow-up and follow-through, and proactive in driving and meeting deadlines. The Contracts Manager provides direct support to the Sr. Director of Contract Management and external counsel. The role requires the willingness and ability to ensure relief of critical tactical day-to-day details. The successful candidate will have a natural ability to ma07/2nage multiple tasks, demonstrate attention to detail, possess good judgment, and ability to meet or exceed deadlines. As a Contracts Manager for Xenex you will be responsible for the following:


RESPONSIBILITIES

  • Work closely with Xenex Leadership to develop and draft legally binding Supplier documents to execute the sale, rental, and lease of Xenex products
    • Draft standard and non-standard proposals, Agreements, Warranty Renewals, Amendments, Addendums, Assignment & Assumption, and other International and Domestic Supplier/Customer interfacing documents
  • Review and analyze
    • customer Term & Condition documents that they want incorporated into the Xenex Agreements
    • customer edits to the Xenex Agreement Term & Condition (redlines)
      • ensure timely review and turn around and reconcile variations
        • conduct timely and accurate Agreement changes and modifications and obtain required approvals from internal and/or external stakeholders.
  • Working knowledge of common Supplier contract clause language, e.g. Limited Liability, Indemnification,
  • Ability to work independently but also display judgement to identify issues which may require Subject Matter Expertise.
  • Ensure contract close-out; review contracts for conformity to purchase orders, resolve any discrepancies, and execute acknowledgement for all associated documentation
  • Manage price compliance and conformity for product and warranty terms and conditions to ensure that all Customer interfacing documents for International and Domestic Commercial, Group Purchasing Organization, and the US Government are in compliance
  • Verify the accuracy of assigned contracts and legal documents, as well as ensure compliance to internal policies and procedures.
  • Provide contract support to the Sales Organization
  • Provide general assistance to the Sr. Director of Contracts and outside Counsel as needed.
  • Act as a resource for colleagues

MINIMUM QUALIFICATIONS

  • Bachelor’s Degree required, JD Degree perferred
  • 4 - 7 years of experience in the position of a Contract Manager working with Commercial Supplier Contracts in a business or corporate environment
  • Demonstrated experience in drafting, reviewing, modifying and negotiating commercial contract terms and conditions
  • Demonstrated experience in working with document details where accuracy is critical while maintaining the ability to stay focused under pressure and with interruptions
  • Requires strong accuracy and attention to detail skills
  • Requires ability to problem solve without a lot of direction
  • Experience in communicating legal and or contract related information to executive leaders
  • Requires analytical ability
  • Strong oral and written communication skills
  • Working knowledge of Microsoft Office, Salesforce with Google Suite preferred
  • Overall technical level of comfort to easily navigate new software applications
  • Attorney at Law highly preferred
