Corporate and Regulatory Counsel

KAYAK & OpenTable are looking for a highly organized, motivated and energetic attorney to join our team as Corporate & Regulatory Counsel to tackle a diverse suite of our complex contracts and advise on regulations related to the exciting industries in which we work - travel and dining.

The role reports to the General Counsel and may be fully remote or be based in any one of our KAYAK or OpenTable offices. This individual will be a member of the KAYAK and OpenTable legal team and the role will involve drafting, negotiating and reviewing strategic partnership agreements, commercial and vendor contracts, leases and related amendments, and collaborating closely with internal business team members across the world to understand their contract needs. The role will also advise on global regulatory issues that impact the business. This role requires an organized, detailed, and highly efficient individual with a strong curiosity about and experience in contract review, drafting and negotiating and advising on complex regulations.

Key Responsibilities:

  • Guide internal clients through the zen of deal making and contracting
  • Draft, review and negotiate commercial agreements with strategic partners and vendors (IT, SaaS, services, sales, product), real estate leases, and other contracts
  • Providing sound and timely advice to business partners regarding legal and other risks and recommending strategic solutions and alternatives
  • Craft, develop and maintain processes, workflows, and trainings for a variety of contracting activities
  • Keeping abreast of and advising business partners of applicable global regulatory developments; devise proactive and strategic advice in response to existing and forthcoming regulations

Qualifications/Experience:

  • J.D. from a nationally or internationally-recognized law school
  • Minimum 7 years’ experience reviewing complex contracts and advising on regulatory matters, preferably within a technology or online marketing company
  • Ability to review, analyze, draft and negotiate complex contractual terms
  • Outstanding facility with spotting issues, assessing and communicating risks, making common-sense decisions in the face of ambiguity, and finding flexible/creative solutions to achieve business goals
  • Prior experience working directly with partners of different seniority and experience levels throughout an organization including commercial sales and/or customer service
  • Ability to balance multiple matters simultaneously and to respond quickly to shifting priorities under tight deadlines
  • Highly motivated and resourceful with the ability to work proactively and independently
  • Excellent judgment, high integrity, and strong verbal and written communication skills, interpersonal skills, and a “can-do” attitude
  • Adaptability and openness to taking on tasks in new or unfamiliar areas of the law
  • Language skills and/or multijurisdictional experience a plus (but not required)
