Chevron U.S.A. Inc. is accepting online applications for the position of Senior Counsel/Counsel in our Chevron New Energies Law Team located in Houston, Texas , through November 5, 2021 at 11:59 pm (Central Standard Time).

The Chevron New Energies Law Team supports Chevron ’s lower carbon higher return s ambitions working with clients in Chevron New Energies (CNE) , Chevron Technology Ventures (CTV) , and Corporate Strategy and Sustainability (CSS) , Downstream Str a t e gy Planning (DSP) , and partnering with other business clients and our law team colleagues across our enterprise supporting renewables, alternative fuels, and other energy transition related work . Our team members provide a full range of advice , counseling , regulatory, advocacy, policy , risk mitigation and contracting support for all aspects of CNE and CTV’s business and energy transition related matters for CSS and DSP . Th ese position s report to Stacey Saunders, Managing Counsel, Chevron New Energies.

Responsibilities for this position may include but are not limited to:

  • Executing strategic transactions, including: deal strategy, due diligence, structuring, drafting and negotiating of transaction documents; leading or supporting negotiations, closings and integration for a spectrum of M&A, strategic alliance, and joint venture transactions and operational contracting.

  • Providing legal support, risk mitigation, and advice for Chevron’s lower carbon businesses, technology ventures, and strategy development, including: products and marketing; contracts; energy transition and sustainability policy; environmental, social, and governance; compliance; regulatory, advocacy; and operations.

  • Offering general corporate and legal advice on compliance requirements, risk exposures and mitigation in areas such as antitrust, bankruptcy, corporate governance, employment, health, environmental and safety, information technology, procurement, and public policy.

  • Establishing value adding processes and playbooks, and driving efficiencies in legal and governance support for Chevron’s lower carbon businesses and ventures.

  • Client training on legal and compliance matters

  • Mentoring and sharing of lower carbon transactional, policy, and regulatory knowledge with other attorneys and law professionals.

  • Partnering with various subject matter experts and enterprise law groups (e.g., tax, finance, intellectual property, environmental and safety, international project management, business units) to ensure best practice and knowledge sharing, policy alignment, and full, efficient coverage.

  • Working with outside counsel on significant transactions, policy, regulatory matters, and on dispute resolution (including pre-litigation strategy and planning and coordination with internal litigation management team as needed).

Required Qualifications:

  • Bachelor's degree and Juris Doctorate in Law from an accredited U.S. law school

  • Active membership in the State Bar of Texas, or actively admitted in another U.S. jurisdiction

  • Juris Doctorate required.

  • Minimum of 10 years’ experience providing significant transactions, operational, policy, and regulatory legal support, preferably for oil and gas or other energy businesses.

  • Demonstrated excellent written and oral communication, teaming skills, and positive attitude.

  • Self-starter with ability to deal with a high and diverse workload, including working multiple issues in parallel with excellent ability to navigate between big picture strategy and attention to detail.

  • Excel at coordinating and collaborating with business clients and other in-house lawyers and law professionals of all levels, as well as outside counsel.

  • Adept commercial and creative thinker who learns quickly and excels at productivity and problem solving in a fast-paced team environment. Demonstrated strong commercial negotiation skills.

Preferred Qualifications:

  • Previous experience in CCUS, Hydrogen, Offsets, Renewables, M& A and joint venture transactions, including forming , managing and integrating new businesses, joint ventures and strategic alliances .

  • Significant experience providing direct-client counseling on complex transaction , policy, corporate disclosure and reporting, and regulatory matters to business clients at all levels, including executive leadership.

  • Proven ability to provide practical, solutions-oriented advice to enable risk-appropriate mitigations and decisions .

  • Demonstrated ability to work e ffectively internally within and across a wide variety of teams, stakeholders and partners, and externally with outside counse l , joint venture , government and other stakeholders.
