What is the opportunity?

As a Capital Markets Attorney, you will provide Investment Banking legal coverage with primary coverage responsibility for M&A and Financial Advisory activities and will provide ancillary legal support for Equity and Equity-Linked Capital Markets transactions and High Yield Capital Markets transactions.

What will you do?

• Review, draft and negotiate M&A engagement letters, NDAs, non-reliance letters and joinders
• Review fairness opinions and proxy disclosure
• Provide supplemental legal coverage for the investment banking industry and product coverage groups
• Provide supplemental legal representation of various internal committees
• Prepare standard forms, policies, procedures for the investment banking business
• Provide ancillary support on offering documents, underwriting agreements and other capital markets transaction documentation
• Work with external counsel on investment banking transactional matters

What do you need to succeed?

• Education Level: JD from a top U.S. law school
• Experience: At least 3 years in a top law firm and/or in-house investment banking position
• Strong drafting and analytical skills; strong interpersonal skills for building relationships; ability to provide training to business and to facilitate business in a risk-appropriate and cost effective manner
• M&A transactional experience; experience drafting and negotiating M&A engagement letters and NDAs a plus; U.S. in-house counsel experience at large investment bank a plus
• Some experience with equity and equity-linked capital markets transactions and/or high yield capital markets transactions
