Job Description

The Corporate Paralegal will assist the General Counsel, Chief Financial Officer and Sr. Corporate Specialist in managing the corporate reporting and governance requirements of a public company listed on NASDAQ and its international subsidiaries. The Corporate Paralegal will assist with drafting and review of documents for filing requirements and will liaise with Company departments, outside counsel, and outside tax advisors.

Duties Will Include

Corporate Compliance, Reporting and Governance
  • Assisting with public company compliance matters, including the preparation, review, and coordination of SEC documents, not limited to Section 16 reports, S-8, 8-K, 10-Q, and 10-K that are filed by Finance using Workiva software.
  • Coordinating certain aspects of the Company's Annual Meeting and Proxy, including assisting in preparation of the Proxy using Workiva software, mailing, voting, and preparing the script.
  • Preparing, distributing and coordinating annual D&O questionnaires, as well as review of the same upon return and integration of data into the proxy.
  • Drafting and distributing board packages not limited to: board and committee minutes, resolutions, and consents.
  • Assisting with the preparation and tracking of intercompany agreements.
  • Assisting with distribution of various corporate documents for execution and legalization.
  • Assisting in the maintenance of corporate records in the Company's hCue entity management software; managing minute books for various entities; and uploading documents and updating entity information in hCue.
  • Providing corporate documents to departments and tax advisors upon request.
  • Maintaining corporate reporting and compliance calendar.
  • Researching and data collection on corporate topics upon request.
  • Assisting with special projects as needed.
Stock Administration
  • Assisting in daily stock transfers for employees.
Administration
  • Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents as needed.
  • Administrative responsibilities include assistance managing the Company’s corporate database information system together with the related physical files, including the update and maintenance of central electronic and original filing, copying, mailing and faxing documents as necessary.
  • Coordinate executive and subsidiary director signatures on a variety of corporate documents.
Job Requirements
  • Education: Bachelor’s degree or an associate degree with paralegal certificate.
  • 7-10 years' experience assisting with corporate compliance and governance. Experience in a corporate legal department of a public company is preferred.
  • Excellent communication skills, including oral, written, and interpersonal skills. Written communication skills must include the desire and ability to write letters and other business documents, proofread and edit documents (content, format, spelling, grammar, and punctuation) with a scrupulous approach to detailed work. The desire and ability to read and understand legal documents, including those that are long and technical, is critical.
  • Superior organizational and analytical skills, including the ability to concisely digest, present / report information; excellent attention to detail.
  • Familiarity with corporate documents such as by-laws, articles of incorporation, resolutions, minute books, equity plans
  • Ability to work effectively with executives and staff at all levels, board members, customers, shareholders, and outside counsel.
  • Strong computer skills: Microsoft Office Suite, Outlook, Adobe Acrobat, Powerpoint and Internet are mandatory; SharePoint, hCue and Workiva are a plus.
  • Experience using hCue entity management software and Workiva software is a plus.
