What You'll Do

You will join the M&A, Corporate and Securities Legal team as Director, Legal. This position provides support in executive compensation, employee benefits and related securities law matters. The attorney filling this role will:

Provide advice and counsel with respect to various executive compensation and employee benefits matters
Collaborate with cross-functional teams, including finance, executive compensation/human resources, tax, treasury and accounting on various executive compensation and employee benefits matters
Provide advice and counsel on employee compensation, and equity plans and offerings

This opportunity is with Cisco’s M&A, Corporate and Securities Legal team, and you will w ork closely with various cross-functional teams to have an immediate impact with your analytic rigor, business judgment, and ability to get things done. This p osition reports to the Senior Director, Corporate and Securities.

Who You Are
You are a detailed, agile, and organized attorney with significant executive compensation and benefits experience to join our exciting team as Director. You have sharp business focus and are dedicated, conclusive, and highly collaborative. You possess excellent social, communication and drafting skills, and you can synthesize complex issues and influence and lead across functions (both business and legal).

Required Skills and Qualifications:
J .D. and excellent academic credentials. You are a State Bar member in good standing.
10+ years of relevant legal, in-house, and/or law firm experience. You have prior in-house experience with a public company and/or experience working with high technology companies, especially as it relates to the primary responsibilities listed below.
Detailed-oriented and a critical thinker. You have the ability to think strategically and give practical advice. You have a track record of conducting a careful and thoughtful analysis of complex executive compensation and benefits issues and applying such analysis to produce high quality work.
Continuous Learning. You have a natural curiosity and hunger to learn about the ever-changing executive compensation and related corporate governance landscape and the relevant securities rules, regulations and interpretations, and enjoy applying that learning to specific tasks to improve your work and the work of others around you.
Extraordinary communication skills. You have an affinity for working collaboratively and positively with colleagues across Legal, Executive Compensation/HR, Finance, and other functions – someone who is “a pleasure” to work with. You have excellent communications and interpersonal skills with the ability to communicate complex legal subject matter to colleagues, as well as senior executives and board members.
Adaptability and ability to self-start. You are comfortable working in a fast-paced, highly collaborative, team environment and demonstrate the ability to successfully handle frequent changes in priorities, deadlines, and workload. Motivated and hard-working, you perform well with minimal supervision.
Strong organizational skills. You have the ability to prioritize and lead several simultaneous projects under deadline pressure.
Ability to Positively Disrupt. You won’t suffer in silence in the face of outdated methodologies, broken processes or inefficient ways of doing things. Instead, you are a change agent who can clearly articulate these issues and their repercussions in a constructive manner and take full ownership of identifying and implementing better, more innovative ways of doing things.

Primary responsibilities will include:
Provide advice on director and executive compensation-related disclosure and corporate governance, including preparing and reviewing the annual proxy statement (CD&A), stockholder engagement on executive compensation matters, and compensation committee matters
Provide advice and counsel on employee equity plans and offerings, including advice on employee stock purchase plan, stock administration and equity award agreements
Support mergers, acquisitions and other corporate transactions with counsel on executive compensation, benefits, equity, and employment tax matters
Monitor legal developments relating to compensation and benefits, equity compensation, and employment tax matters and ensure compliance with new requirements
Manage outside counsel on compensation, benefits, equity, and employment tax matters
Review 10b5-1 trading plans, assist with administration of insider trading policy, and prepare and review Section 16 forms (including Forms 3s and 4s) and Rule 144 forms.
Review and prepare Board and Committee materials (including resolutions) related to executive compensation and equity plans including documentation of such meetings.
Legal support for Cisco’s executive compensation/human resources department
Other general compensation and equity plan matters and special projects.
