The Global Legal and CoSec team role is to deliver smart and commercial legal solutions to customers, being the Computershare business. The purpose of the team is to support Computershare to meet its strategic objectives by expertly managing legal risk and providing effective and efficient legal solutions.


A role you will love


To assist the Company Secretary in maintaining effective appropriate corporate governance practices for an OCC regulated national bank. The position will also assist the corporate trust business by coordinating the execution of documents or supplying information necessary for transaction closings or various transactional needs that arise from time to time. To provide other support as may be required by the needs of the team.


Some of your key responsibilities will include:


  • Provide support to the CEO on planning and coordination of the Board program and agenda.
  • Provide all administration and logistical support for the calendar of Board and Committee meetings for Computershare Trust Company, including:
    • Coordinating all arrangements for the scheduling of meetings and video conferences, including all travel arrangements as well as engaging with global offices as necessary,
    • Coordinating the preparation and distribution of all board and committee papers,
    • Assist in the drafting of meeting minutes,
    • Consult and liaise with relevant stakeholders and/or internal business partners to obtain information and reports on time, and
    • Foster collaborative working relationships with board/committee members officers as appropriate.
  • General administration and preparation of correspondence, reports and presentation material.
  • Maintain confidential records and filings.

What will you bring to the role?


  • The Paralegal will have knowledge of general corporate law and governance (including of the regulatory environment in which companies may operate) and experience of working within the financial services industry, particularly in the banking sector for an OCC regulated entity being the most desirable experience.

  • The Paralegal will have a good understanding of a US corporate trust business, including structured products and conventional debt services.

  • The Paralegal will not directly supervise or manage others; however, they will be required to demonstrate commitment and loyalty to people and project. The role holder will have business savvy with a strong team spirit to work collaboratively with other team members and engage proactively with stakeholders

  • The role holder will be able to apply commercial overaly to technical legal issues. The role holder will have an ability to prioritise day to day activity (both routine and non-routine) with own areas of responsibility and to manage own time and available resources to enable the successful completion of individual and team objectives. The role holder will have sound judgement and ability to analyse situations and information, as well as be adaptable and to take on a variety of tasks. The role requires excellent organization skills, attention to detail, mature attitude, and ability to work independently. The role holder will be results and solutions focused, be commercially aware and an analytical problem solver.

  • The role holder will be required to work with the corporate trust business and will need a good understanding of the OCC regulated entity governance.
  • The role holder will have good comprehension, communication and clear and concise legal writing and presentation skills. They will have an ability to work with internal / external stakeholders and create strong relationship. The role holder will also be professional, have tact and diplomacy when handling confidential information and sensitive matters, as well as be self-motivated, flexible and proactive.

Education and Experience


Required:


Degree educated and a legal practice course.

Preferred:


A legal practice course or equivalent


Salary for Colorado candidates: $54,519-$90,865 annually.


Travel Required

It is expected that this position may include travel up to 10% of the time. This is subject to change based on many factors, including business needs.
