Background:
Atlantic Shores Offshore Wind is a 50:50 partnership between Shell New Energies US LLC and EDF Renewables North America. The joint-venture (JV) company was formed in December 2018 to co-develop a portfolio of offshore wind energy projects located on a 183,353-acre lease area located on the U.S. Outer Continental Shelf. The lease area (OCS-A-0499) is located within the New Jersey Wind Energy Area.

Scope of Job:
Counsel will be primarily focused on supporting General Counsel and the Commercial and Procurement team in the preparation and negotiation of service agreements, purchase agreements, non-disclosure agreements, key project-related agreements regarding engineering, procurement, construction, installation, operation and maintenance related to the project, and other relevant commercial agreements, all in accordance with the Company’s objectives and policies. Will also support in the preparation of RFPs for the major packages for the design, engineering, construction and operation of the project. May also provide other legal support on project permitting (local/state/federal), real estate/site control, offtake solicitations, financing activities and regulatory matters. Duties include the willingness to travel periodically within U.S., mostly in the Northeast.

Responsibilities:
  • Critical review of consulting services agreements, master services agreements, third party engagement letters, non-disclosure agreements, letters of intent or memoranda of understanding and other routine general contracting arrangements.
  • Participate as a key member of the Commercial and Procurement team in developing a contracting strategy and contract templates for the project-related agreements regarding engineering, procurement construction, installation, operation and maintenance, which will include interfacing with and taking input from subject matter experts from each parent company during assurance review. This role will be essential to delivering a successful project.
  • Critical review of real estate option/purchase and sale agreements, right of way agreements, licenses, joint development agreements, interconnection agreements, permits, environmental matters (such as compliance with federal and state endangered species laws and incidental take permits), PJM and NYISO tariffs and market rules, O&M and asset management agreements, and other agreements related to the Company’s offshore wind project and a related hydrogen pilot project.
  • Supervise external counsel, including subject matter experts in permitting, environmental, regulatory, real estate, corporate, finance and litigation matters.
  • Serve as an assistant secretary to Atlantic Shores and when necessary, be called upon to attend Board meetings and/or Advisory Committee meetings, prepare resolutions, notices and minutes of such meetings and to act as a legal advisor to the Atlantic Shores Board of Directors and Management Team at such meetings.
  • Support the General Counsel and others on the Atlantic Shores team on an as-needed basis.

No direct reports

Qualifications:
  • 7+ years of legal experience, preferably in connection with utility scale renewable energy projects or other large energy-related infrastructure projects (experience in offshore wind or infrastructure a plus), at a major law firm, in-house or at a public entity (a combination of law firm and in-house experience a plus);
  • Licensure to practice law in at least one state.
  • Project finance and/or tax equity financing experience a plus.
Education/Experience
  • J.D. degree from a law school accredited by the American Bar Association.
Skills/Knowledge/Abilities –
  • Knowledge of a wide variety of project development contracts including construction agreements, large equipment procurement agreements, operation and maintenance agreements, engineering and consulting services agreements, confidentiality agreements, purchase agreements, and other relevant documentation along with the manner in which corporate entities operate and are organized within the power industry.
  • Ability to identify risks and propose alternative strategies in order to mitigate risks while accomplishing the preferred path forward for the project if possible.
  • Ability to multi-task and oversee multiple issues simultaneously with possible conflicting schedules.
  • Ability to work successfully in a multi-cultural context and a fast paced JV environment.
  • Ability and willingness to timely meet fluid and changing priorities.
  • Ability to be discreet and maintain confidentiality.
  • Strong interpersonal and teamwork skills.
  • Strong written and verbal communications skills.
  • Strong planning, analytical, negotiation, and organizational skills.
  • Strong ethical values and willingness to raise concerns to internal team members.
  • Able to analyze complex legal issues and provide judgment and guidance on appropriate corporate response.
  • Strong experience with common business software tools, such as Microsoft Office (Word, Outlook, PowerPoint, and Excel).
Working Conditions:
85-90% of time is spent in the office environment, utilizing computers (frequent use of various Microsoft software/programs), phones, and general office equipment. Approximately 10-15% of the time is spent in offsite workshops or visiting other Atlantic Shores or parent offices, or training
