About the Role:

Under the supervision of the Chief Legal Officer and General Counsel, the Associate General Counsel (Pango) will join Pango Group, an Aura company, to contribute to the team's explosive growth. As Associate General Counsel, you will have the opportunity to provide legal counsel, and review, draft and negotiate agreements in connection with litigation and investigations according to Aura policy.

Responsibilities:

  • Assist with mergers and acquisitions, investments and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration
  • Draft and assist with the preparation of M&A related board and committee meeting materials
  • Work on antitrust compliance issues including HSR filings and governmental responses
  • Assist with other special corporate projects
  • Work closely with our internal business and compliance teams, as well as with external advisors and experts
  • Draft and review commercial contracts including customer agreements, leases, software agreements, and vendor agreements
  • Provide counsel on diverse legal and regulatory, matters
  • Advise on compliance with laws, rules, and regulations, with a focus on consumer privacy
  • Conduct general legal research
  • Assist in responding to external audits, reviews and complaint investigations
  • Assist in litigation claims/case management
  • Assist the Chief Legal Officer with special projects

Qualifications:

  • Juris Doctor from an accredited law school and active license to practice in NY, CA, MA, or TX preferred
  • 4-6 years' of M&A and transactional experience experience and prior experience working in the technology space is a plus
  • Proven ability to work in a fast-paced environment and juggle multiple projects simultaneously
  • Excellent project management and task tracking skills
  • Ability to exercise good judgment and decision-making
  • Ability to deal with sensitive issues with diplomacy and discretion
  • Excellent interpersonal skills and able to communicate both verbally and in written form.

  • Ability to maintain a professional demeanor under pressure and operate with a keen sense of urgency and commitment to quality
