DEPARTMENTAL SUMMARY: The Legal Department provides advice, counsel and support to the St. Charles Health System (St. Charles) on legal matters. The department responds to questions about legal rights and responsibilities, negotiates and manages a large volume of organizational contracts on behalf of the health system, manages claims and suits filed against the health system and its providers and caregivers, facilitates the grievance response process, and provides other services to mitigate the legal risk faced by the health system.
POSITION OVERVIEW: The St. Charles Contracts Attorney drafts and reviews contracts for the health system and provides such other legal services and support as are needed to ensure St. Charles complies with regulatory requirements in contracting and policy development. The position also serves as backup on other operational/healthcare/litigation legal issues that arise, as directed by the VP of Legal Affairs. This position does not directly manage any other caregivers.
ESSENTIAL FUNCTIONS AND DUTIES:
Develops and maintains an in-depth knowledge of legal and regulatory principles, practices, standards and techniques pertaining to St. Charles and health care.
Drafts, reviews, negotiates, implements and manages contracts relevant to St. Charles’ business and operations, including, without limitation, organizational agreements, software agreements, lease agreements, property agreements, employment agreements, medical director contracts, service agreements, and purchase agreements.
Drafts and reviews St. Charles policies and procedures to ensure compliance with applicable laws and regulations.
Maintains knowledge and informs management of current regulations impacting St. Charles business practices and relationships.
Assists in researching, guiding, educating and coaching the organization on risk management, patient rights and health care law to mitigate risk to St. Charles.
Coordinates the interpretation and delivery of subpoenas, court orders, and other legal documents received by St. Charles.
Participates in various meetings through the health system, offering advice and counsel to meeting attendees on legal matters, as they arise.
Responds to calls and other communications from outside attorneys on various legal matters and questions.
Listens attentively and responds respectfully and promptly to caregivers, patients and others who have legal concerns or questions.
Provides legal research and analysis.
Complies with all applicable laws, regulations, policies and procedures, supporting the health system’s corporate integrity efforts by acting in an ethical and appropriate manner, reporting known or suspected violations of applicable rules, and cooperating fully with all company investigations and proceedings.

EDUCATION:

Required: Law degree
Preferred: N/A
LICENSURE/CERTIFICATION/REGISTRATION:
Required: Licensed with the Oregon state bar or able to waive into the Oregon bar within 1 year.
Preferred: N/A

EXPERIENCE:
Required: Minimum of 2 years’ experience working as a lawyer.
Preferred: Experience in health care law, healthcare contracting, business contracting, litigation, and employment law.
PERSONAL PROTECTIVE EQUIPMENT:
Must be able to wear appropriate Personal Protective Equipment (PPE) required to perform the job safely.
