Kleinfelder has a great opportunity for a Senior Vice President, Corporate General Counsel to lead the legal department.
You will be responsible for directing all legal functions of the company and assuring legal representation for the company's business by providing legal support, advice, and sound recommendations to all levels of the organization.
You will be a key part of the Executive Leadership Team and report directly to the CEO, and you will be involved in discussions on company direction, corporate strategies, and initiatives. You will have a team of legal professionals and contract review professionals. You will work independently or collaboratively with others to accomplish established goals and objectives.
Responsibilities
  • Serve as legal advisor and business partner to the company's CEO, Executive Team, and Board of Directors and oversight of Corporate legal activities at all levels.
  • Manage legal and risk management due diligence and documentation for acquisitions and/or divestitures.
  • Participate as a member of the Executive Leadership Team and partner and advisor to corporate committees.
  • Serve as a member of the Corporate Risk Review Committee
  • Manage the Contracts team of professionals, responsible for establishing best practices for contract preparation, review and negotiation for corporate operations.
  • Retain and work closely with outside counsel as appropriate; manages and works closely with the CEO and others to provide strategy, direction and oversight of litigation and claims for optimum results.
  • Investigate claims against the company, working with appropriate internal staff as appropriate for response and resolution.
  • Follow and adheres to all federal and state regulations, client requirements and contracts, and company policies and procedures including but not limited to taxes, labor laws, safety, building codes, or environmental regulations.
  • Respond to complex construction and professional liability claims including supervision of outside counsel, development of defense strategies and the management of legal expenses.
Required Qualifications
We are looking for a seasoned professional with the following:
  • an undergraduate degree and JD degree from a recognized institution, membership in good standing with a state bar, and more than 12 years of experience as a practicing attorney.
  • Proven experience in M&A to include due diligence, negotiations, and integrations.
  • Demonstrated excellence within a corporate environment or as General Counsel to a corporation.
  • Broad knowledge of the law and proven legal counseling experience in a business environment.
  • Excellent judgment and oral communication skills.
  • Commitment to the highest standards of integrity and ethics.
Preferred Qualifications
  • Work experience in the A/E/C industry.
  • Experience in Canada and Australia.
