Job Purpose


The commercial attorney’s responsibilities will include working with the company’s procurement group and business teams on a wide range of commercial agreements, including construction agreements, professional services agreements, EPC contracts, joint venture agreements, joint development agreements, software licenses, and non-disclosure agreements. The successful candidate will have a minimum of six years of experience in commercial contracting in either an in-house or law firm setting, preferably with some focus on a highly-regulated or international environment. Experience in the energy industry, particularly in the areas transmission construction, contracts regarding energy facilities and energy efficiency programs, and experience with municipalities, municipal contractors, and federal acquisitions regulations preferrable. Experience with sponsorship agreements, marketing and data protection a plus.

Key Accountabilities

  • Providing sound commercial legal advice to internal clients on a variety of projects
  • Drafting and negotiating a wide range of complex commercial agreements and ancillary documents
  • Drafting and reviewing template commercial documents for use by internal clients
  • Exercising independent judgment on legal matters to counsel middle and senior management clients
  • Performing legal research, due diligence and risk analysis for new business projects
  • Learning and applying industry best practices and regulatory rules and guidance in daily practice
  • Effectively overseeing matters with significant strategic financial or reputational impact


Qualifications


  • Juris Doctor Degree
  • Admission to and in good standing in MA or NY Bar
  • At least six years of commercial legal experience; in-house experience a plus
  • Ability to manage a high volume workload
  • A practical approach to contract law and intellectual property issues, to accommodate business interests while protecting the company
  • Sensitivity to regulatory constraints
  • Excellent oral and written communication skills
  • High personal standards of commitment and integrity
  • Ability to anticipate obstacles, think ahead about next steps and develop creative solutions
  • Strong sense of team work; ability to work effectively on multidisciplinary teams
