We have an exciting opportunity to join our global legal department - in particular, an attorney to join our Office of the Secretary at the company global headquarters. This position provides a broad range of legal services with primary responsibility for:

  • Oversight of the Company’s global subsidiary management and compliance program, including internal restructurings,

  • Management of shareowner relations function, including the transfer agent relationship and responding to shareowner inquiries,

  • Section 16 reporting and compliance,

  • Administration of the Insider Trading compliance program, including management of the insider trading list and oversight of trading by Company officers and directors

This role will provide key additional support to the Office of the Secretary as needed, including to:

  • Assist with SEC reporting and compliance, including preparation of Forms 10-K, 10-Q, and 8-K,

  • Assist with documentation and compliance with regulations applicable to global equity plan administration and other executive compensation matters

  • Assist with supporting the company secretarial function, including corporate governance matters, Board processes and preparation of Board and committee materials, as needed,

  • Assist with all matters related to the annual meeting of shareowners,

  • Assist with shareowner engagement program, including preparation for meetings with the Company’s top institutional investors and responding to investor letters

  • Assist with NYSE governance and listing standards

  • Stay current on governance trends and best practices, SEC and NYSE developments

  • Assist with support on capital markets transactions

  • Assist with ESG related disclosures

  • Support continuous improvement activities impacting the effectiveness and efficiency of the Office of General Counsel

Basic Qualifications:

  • Bachelor’s degree from an accredited institution is required.
  • Juris Doctorate (J.D.) degree from an accredited law school required.
  • Licensed to practice in Wisconsin or qualify for the In-house Counsel Exemption
  • Legal authorization to work in the US is required. We will not sponsor individuals for employment visas, now or in the future, for this job opening.

Preferred Qualifications:

  • Typically requires 3+ years of relevant experience at a law firm and/or public company legal department with a primary focus on corporate governance and/or securities law related matters.
  • Legal entity management and related transactions
  • 1934 Act Filings, Section 16 and other areas of securities compliance
  • Experience with executive compensation and equity plan compliance a plus
  • Experience with finance and capital markets transactions a plus
  • Experience with mergers and acquisitions a plus
  • Highly organized and ability to work both independently and as a member of a team
  • Excellent written, verbal, and interpersonal communication skills, attention to detail, and the ability to handle multiple projects at one time.
  • Experience managing and improving processes and driving continuous improvement.
