We are looking for an attorney to join the small but growing Stash legal team and advise on a broad range of corporate, securities and governance matters. This attorney will report to our Director of Legal, Corporate and Commercial, and will work with her on M&A and strategic transactions, securities transactions, financing activities, and governance, and must have a willingness to expand into other substantive areas to support business needs.

What You'll Do:

  • Financings and investor matters: Support securities offerings, debt transactions and cap table management, including secondary transactions, and related policies and processes related.
  • M&A: Support M&A and other corporate development activities, including overseeing and coordinating due diligence activities, negotiating non-disclosure agreements, term sheets, and definitive agreements; provide risk-aware, actionable legal advice on M&A projects and initiatives; support related legal processes.
  • Securities: Provide legal advice on a wide variety of matters focused on federal and state securities laws, rules and regulations.
  • Governance: Advise and maintain governance policies and practices for affiliated entities, advise members of senior management regarding corporate governance activities; assist with preparation of board materials, including resolutions.
  • General: Collaborate with all other members of the legal team, as well as business partners; manage work of outside counsel; support the continuous improvement of legal processes to promote efficiency; be flexible - the scope of your job may evolve and change by business demands.

What You Bring to the Table:

  • Minimum 4 years of experience working in a top tier law firm and/or in-house legal department.
  • Membership in good standing in at least one state bar (New York preferred).
  • Nice to have: experience with public company SEC reporting requirements.
