Role Summary

This position will report to the Vice President, Legal, Deputy General Counsel and Assistant Corporate Secretary and provide legal support to the financial reporting and investor relations teams, advising on securities compliance and disclosure, reviewing annual and quarterly reports, and preparing periodic reports. This position is also responsible for preparation of the executive compensation disclosures in the annual meeting proxy statement, as well as the Section 16 forms reporting changes in beneficial ownership of directors and executive officers.

Further, this position will provide legal support to the human resources/employee benefits team, with responsibility for drafting equity incentive programs, including award agreements in compliance with applicable securities and tax requirements, both domestic and international, and providing legal advice relating to the design and operation of non-qualified programs for senior executives, including 409A compliance.

This position also provides advice and counsel on a wide variety of operational benefits matters (including retirement plans and health and welfare plans) claims and appeals, ongoing compliance reviews and filings under relevant, and ever evolving, governing laws, as well as guidance regarding all aspects controlled group participation in multiemployer pension plans, including required public disclosure, identification of long-term planning opportunities, legislative efforts and withdrawal liability litigation.

Additionally, this position provides assistance with reviewing contracts with third party services providers for all benefit related programs, support for benefit and disclosure related aspects of M&A activity and assistance to the corporate secretary’s office and the human resources/employee benefits team with preparing and reviewing materials for meetings of the Board’s Compensation and Leadership Development Committee.

Experience and Educational Requirements:

  • Education: J.D. from an accredited law school and admitted to practice in at least one U.S. state bar; an academic record of distinction preferred.
  • Experience: 7 plus years at a premier law firm and/or the in-house legal department of a public company with employee benefits and securities experience consistent with the role profile described above.
