Job Description

Successful candidates for positions in the U.S. Bank Law Division consistently provide excellent advice and guidance to clients and colleagues, on a variety of legal matters. They build trusting relationships that allow the business to make well-informed decisions. Meaningful collaboration, participation in the community, and investment in the development of the Law Division are all expected from candidates.

U.S. Bancorp is seeking a senior attorney to join the corporate and securities law department of its in-house legal team. We are looking for an individual who can work independently but collaboratively in a fast-paced and collegial team environment. Ideal candidates will have 6 or more years of public company securities law, corporate governance and NYSE compliance experience, including at least three years working at a law firm. The individual must have demonstrated recent experience providing guidance in the areas of public company disclosure rules and considerations, Delaware corporate law, executive compensation, public offerings of securities, corporate governance, and general corporate, treasury and finance matters. The individual must be an accomplished legal draftsperson, with substantial experience drafting, reviewing and coordinating '34 Act filings, including annual reports on Form 10-K, quarterly reports on Form 10-Q and proxy statements.

Basic Qualifications
  • Law degree
  • Licensed in good standing to practice law in at least one jurisdiction

Preferred Skills/Experience
  • Advanced knowledge of operations of business unit(s), products, policies and relation to industry
  • Well-developed leadership abilities and strategic management skills
  • Excellent analytical, decision-making and problem-solving skills
  • Excellent verbal and written communication skills
  • Advanced client management, diplomacy and people skills
