Advanced Energy is seeking an enthusiastic and experienced senior paralegal to be in our new Denver office. As a key member of Advanced Energy’s legal team, responsibilities will include administration of critical legal functions of the law department and day-to-day operations including supervising legal support teams, coordinating new case assignments, and create and manage reports utilizing strong Excel/database skills. Revises standard form agreements at the direction of legal counsel with ability to interface with contracts professionals of AE’s external business partners. Reports to the Corporate Attorney, identifies and plans for the changing needs of the organization, shares responsibility for strategic planning, practice management and contributes to cost-effective management throughout the organization.


RESPONSIBILITIES:

Corporate Duties:

  • Assist with preparation and filing of regulatory filings for domestic and international subsidiaries
  • Corporate governance experience (drafting board resolutions, consents, minutes, filing annual reports, managing subsidiaries, and formation and dissolution documents
  • Drafting and analyzing a wide range of contracts, such as employment contracts and non-disclosure agreements; must have the ability to identify and assess risk and communicate effectively with legal team members, business partners, and outside counsel
  • Performing legal research
  • Manage and provide oversight and support in the records and data integrity of all information pertaining to international and domestic subsidiaries
  • Provide support in developing and implementing corporate governance guidelines and subsidiary governance processes across all international and domestic subsidiaries
  • Provide support for ethics and compliance related activities, including trainings and policy roll out
  • Manage development of transactions database to track historical information and deal terms
    • Provide training, mentoring, and education to internal teams, and design, recommend, and implement new processes and procedures to increase group efficiency and productivity
    • Litigation experience preferred (ability to participate in fact development, document production and to coordinate e-discovery with legal team and outside counsel


Project Administration

  • Administrates legal projects assigned by Legal Department
  • Tracks project status
  • Communicates, coordinates, and presents project scope, issues and progress


Practice Management:

  • Legal training and development, including professional standards, substantive practice systems and other practice management
  • Actively manage and implement processes for managing outside law firms, budgets, and reports
  • Support department communication strategies and technology
  • Special projects as requested


Financial Management:

  • Includes forecasting, variance analysis and financial reporting
  • Work on the AOP with corporate counsel for the legal department budget


Systems Management:

  • Records management, including all current and archived contracts properly indexed and filed (both soft and hard copies), document construction systems, information storage and retrieval and litigation support
  • Track legal department functions for SSQA (Standardized Supplier Quality Assessments conducted by Customers)


QUALIFICATIONS:

  • Must be detail-oriented with strong problem solving and critical thinking skills
  • Sound understanding of corporate legal concepts, terminology, and procedures
  • Project management skills
  • Ability to work on complex assignments requiring independent judgment and little supervision
  • Ability to communicate effectively and maintain confidentiality of legal matters
  • Excellent computer skills
  • Excellent communication skills, both written and verbal
  • Excellent organizational skills
  • Ability to handle multiple assignments and balance priorities
  • Familiar with filing corporate compliance documents
  • Demonstrated corporate governance experience in establishing and managing corporate entities
  • Solid drafting skills, i.e., board resolutions and minutes
  • Strong Microsoft Office skills (Excel, Word, PowerPoint)


EXPERIENCE:

  • Minimum 6 years’ experience in a paralegal position in a legal environment, experience managing and administering business operations, demonstrates independent working capabilities, responsible for meeting filing deadlines and other legal requirements
  • Experience with Corporate Governance


EDUCATION:

  • BA or BS in business or related field
  • Paralegal certification


COMPENSATION: $65,000 - $90,000
