Senior Corporate Paralegal

The team
The Legal team helps DocuSign achieve strategic goals, manage legal risk, and preserve the legal and ethical integrity of the company. We are regularly involved in critical, complex operations, and partner across the business to solve challenging problems to support our growth and progress globally. We focus on providing thorough analysis and offer legal advice to foster sound decision-making and ensuring compliance with legal and other relevant standards and certifications.

This position
The Senior Corporate Paralegal will help DocuSign's corporate and securities team deliver timely, organized legal support to our global clients, contribute directly to DocuSign's securities law compliance programs, and help manage our global portfolio of subsidiaries.

This position is an individual contributor role reporting to the Deputy General Counsel and is designated Flex.

Responsibilities

  • Support the preparation and filing of DocuSign's 10-K, 10-Q, 8-K, proxy statement and other public company and regulatory filings, working in collaboration with attorneys, accounting and finance and other professionals
  • Organize backup, update drafting calendars and gather supporting materials for DocuSign public company filings, including D&O questionnaires; assist in organizing and administering annual stockholder meeting and related communications
  • Prepare and file Forms 3, 4 and 5; manage Section 16 compliance tracker; assist in administering 10b5-1 trading plan compliance
  • Assist with entity formation, state filings and maintenance for U.S. and international subsidiaries, including managing and updating entity management platform and assisting with execution of intercompany transactions
  • Organize and update corporate legal and related records
  • Assist with implementing and maintaining compliance related policies and processes, including supporting policy trainings
  • Assist as needed with corporate development and strategic transactions, including organizing due diligence materials and data rooms

Basic qualifications

  • Bachelor's degree from an accredited college
  • Minimum of 8 years of paralegal experience, including in-house and Section 16 reporting experience
  • Working knowledge of securities reporting and compliance requirements applicable to Section 16 filings
  • Familiarity with public company corporate governance, including insider trading policies

Preferred qualifications

  • Excellent verbal and written communication skills, including collaborating with various internal and external stakeholders
  • Experience preparing board and committee materials; familiarity with annual meeting processes
  • Experience at a major law firm and in-house for a technology company
  • Experience using Workiva/Wdesk platform
  • Intermediate to advanced software skills with Microsoft Office and Google Drive, including Word, Excel, and PowerPoint
  • Ability to manage and prioritize multiple projects and tasks in a dynamic, fast-paced environment
  • Excellent analytical capabilities, organizational skills, and dedication to the details
  • Fast learner and self-starter with a demonstrated ability to work and communicate globally and across cultures
  • Paralegal certification
