Description: JOB SUMMARYHealthwise’s legal department provides a unique opportunity for an attorney with some experience to grow their skills while contributing to Healthwise’s nonprofit mission. The Associate General Counsel will assist the Chief Legal Officer in managing and proactively addressing Healthwise’s legal concerns and responsibilities, from both a corporate and a nonprofit standpoint. The professional challenge for this position is to support and partner with various Healthwise teams in a broad range of areas, including commercial transactions, product research and development, technology, intellectual property, finance, human resources, vendor management, and compliance.

  • Drafts, reviews and negotiates domestic and international commercial contracts including SaaS contracts, software license

agreements, re-seller agreements, service provider agreements, confidentiality agreements, and sales, services, and consulting

  • Serves as a resource to the Senior Contract Administrator for contract drafting questions and negotiations.
  • Provides general legal advice and counsel to various functional groups within Healthwise (primarily sales and product).
  • Identifies and advises regarding potential legal risks and solutions with respect to courses of actions proposed by business


  • Serves as a legal representative on various internal committees and councils.
  • Develops, modifies, updates and communicates appropriate internal legal-related policies and procedures.
  • Develops legal training for management and employees as needed.
  • Monitors applicable statutory and regulatory requirements and developments; works closely with the Chief Legal Officer, the

Security and Privacy Team and outside counsel to ensure legal compliance with regulatory requirements including state, federal
and international privacy and security laws, among others.

  • Supports the Chief Legal Officer with respect to board and governance issues.
  • Researches legal issues and presents clear analysis and recommendations.
  • Performs other duties as assigned by the Chief Legal Officer.


  • Commitment to the Healthwise principles of teamwork, respect, and do the right thing.
  • Juris Doctor degree from ABA accredited law school, and member in good standing of any state bar (Idaho preferred).
  • 3-5 years of practice at a law firm or corporate legal department, preferably handling commercial transactions.
  • Experience negotiating and drafting a wide variety of commercial contracts.
  • Experience identifying and resolving business legal issues; experience with nonprofits and/or data security/privacy a plus.
  • Demonstrated ability to provide sound and practical legal advice to business clients.
  • Must have a service and solution-oriented focus and ability to work in a fast-paced environment.
  • Must be able to assess facts, apply legal principles and business judgment, and convey advice to internal clients.
  • Good judgment; initiative; willingness to learn new areas of law; the ability to prioritize and handle multiple tasks; and the ability

to work with all levels of management and employees.
