Job Purpose/Role
  • Assists VP/Associate General Counsel regarding legal matters within the organization;
  • Ensures that all practices, policies, and business activities of the organization fall within the bounds of the organization's legal posture;
  • Provides advice and counsel to staff concerning the laws that impact their functional areas;
  • Oversees the preparation of legal documents; and
  • Works under guidance and direction of General Counsel and VP/Associate General counsel in providing legal assistance to the various business units.

Key Responsibilities
  • Handle a full range of legal matters in connection with the development, issuance, administration and distribution of the Company's insurance products.
  • Exercise sound legal and business decision making through assessment of risk and evaluation and explanation of alternatives and their implications.
  • Provide counsel to various business units regarding legal issues that arise during insurance operations.
  • Support Underwriting and Underwriting Governance with a primary focus on Marine and Aviation underwriting (e.g., drafting/review of forms, new product development), Market Management and Communications (e.g., broker agreements, broker relations, customer communications), Finance (e.g., assessments collection, premium recovery, escheat), and Operations (policy transactions).
  • Significant amount of contract/policy drafting and review.
  • Regulatory compliance matters including the companies' state licensing, foreign reinsurer registrations, underwriting market conduct examinations, responding to government inquiries (data calls, complaints,etc.), coordinating form/rate filings for new products, and producer licensing.
  • Administration of corporate compliance policies and processes including code of conduct, company's anti-corruption policy, and OFAC screenings.
  • Monitor new laws, evaluate impact and alert internal business clients, including federal laws (e.g., TRIA, OFAC, optional federal charter bills) and state laws (e.g., SFP exceptions for terrorism, commercial deregulated states, catastrophe funds, and restrictions on cancellation/nonrenewal.
  • Act as sounding board for assigned internal business leaders regarding legal issues relating toimplementation of strategy, new processes and products.
  • Provide legal advice on complex AGCS projects, including restructuring activities and regional expansion.

Key Requirements/Skills/Experience
  • At least 10 years of experience practicing in law firms or blue-chip companies;
  • Demonstrated expert experience in insurance, corporate law or litigation across multiple jurisdictions;
  • Proven track record of negotiation of complex legal agreements;
  • Experience in various business scenarios (e.g., restructuring, integration, growth);
  • Knowledge of a breadth of substantive legal disciplines, including insurance, corporate and contract law, accounting standards, and litigation processes;
  • Legal knowledge across multiple countries and jurisdictions in which AGCS operates;
  • Understanding of regulatory and compliance environment, including relevant policies, laws and regulations, across multiple jurisdictions;
  • Drafting and negotiating of contracts and strategic management of contractual disputes;
  • Ability to analyze complex data, from multiple sources, in detail;
  • Identify and resolve issues before they transpire;
  • Ability to negotiate best position for AGCS and client, often in contentious situations, managing conflicting priorities of various parties;
  • Ability to express ideas and messages clearly, both written and verbally;
  • Strong understanding of financials and macro economic trends; and
  • Juris Doctorate degree.
