Amyris is seeking a mid-level real estate attorney to join the Transactions Team and assume primary responsibility for a variety of real estate and related contractual matters. This attorney will report to one of Amyris’s Senior Transactions Counsel, and work closely with the President of eCommerce, the Chief Legal Officer and other members of the Company’s executive leadership. This attorney will also coordinate with other members of Amyris’s Legal Team in order to negotiate leases, manage the Company’s U.S. and international real estate obligations, coordinate with transverse partners (Accounting, Lease administration, Finance, HR) and advise internal clients (specifically, brand and creative leadership) on both local market standards and site-specific architectural and design plans, as well as assisting on other contractual matters.

Responsibilities:

    • Negotiate all real estate leases working with external brokers, finance, RE project managers and creative teams to meet objectives.
    • Provide leadership on negotiations through property-specific term summaries, lease abstract and management of external real estate counsel, and support internal clients through contract interpretation and tracking post-closing obligations and other facilities-related actions.
    • Deliver appropriate legal services in connection with Landlord correspondence, Lease amendments, estoppel certificates, SNDA agreements, construction compliance certificates, Tenant Allowance requirements and other common real estate matters.
    • Negotiate all contractor and architect agreements for build-outs.
    • Handle permitting in coordination with finance and/or RE project managers.
    • Negotiate and draft ancillary agreements such as HVAC maintenance, cleaning, security, furniture and equipment purchases for office and retail spaces, signage, property management, brokerage agreements and CAM audits.
    • Coordinate with and provide legal advice to lease administration.
    • Coordinate and advise HR and RE management teams on local regulations relative to operation of retail or office premises (e.g. meals, rest periods, lactation rooms, gender-free toilets, etc.) and managing local counsel for additional direction, as needed.
    • Identify, formulate, and provide pragmatic advice to executive leadership (specifically, the CLO and the CFO) to mitigate legal and regulatory risks and disputes associated with operations of the premises.
    • Develop best practices and policies regarding careful communications, contract interpretation, and dispute management related to all Company properties.
    • Negotiate and draft other commercial agreements supporting the Transactions Team as needed.

Required Qualifications:

    • Strong academic background, including law degree from a top U.S. law school.
    • Licensed to practice law in New York or registered as New York in-house counsel.
    • 7 to 12 years of experience; including at least 5 years at a nationally recognized law firm, and 2 to 4 years as in-house counsel in a real estate or commercial practice.
    • Experience with a broad range of real estate, including retail, office, manufacturing, commercial matters.
    • Excellent ability to issue spot and integrate legal advice with business goals.
    • Strong verbal and written communication skills.
    • Strong interpersonal skills including maturity, creativity, positive attitude, and high energy.
    • Team-oriented and able to interact effectively and influence peers and all levels of management.
    • Ability to collaborate well in a cross-functional team environment, as well as in a small team environment.
    • Prior experience at a life sciences or biotechnology company, an advantage.
