Job Purpose:

Provide paralegal support in Caterpillar’s Law, Security, & Public Policy Division, with a primary focus supporting Caterpillar Financial Insurance Services and other Caterpillar insurance businesses. The paralegal will work under the direction of attorneys and, in some cases, act as a liaison between the attorneys and various business units.

Description:

  • Carries out legal tasks requiring initiative and independent judgment pursuant to requests by applicable client and/or attorney for whom the task is being performed.
  • Serves as a primary contact for assigned work supporting insurance businesses in the Financial Products Division, including all Property & Casualty and Life insurance entities.
  • Serves as lead coordinator for corporate governance practice for 6 insurance entities and 7 business committees, utilizing insurance knowledge and expertise to assist with corporate secretary and governance resolutions and recordkeeping duties and interface with corporate governance experts throughout the enterprise. Drafts and coordinates review of board and committee minutes, agendas and insurance-specific policies (e.g., compliance policies, cyber plans, risk plans, investment policies, fraud plans, etc.). Maintains governance playbook to support insurance operations.
  • Provides regulatory management services, including drafting insurance statutory reports and filings, examination management, and regulatory correspondence. Lead coordinator for key statutory reports, including Corporate Governance Annual Disclosure (CGAD) and Own Risk and Solvency Assessment (ORSA) Summary Report. May serve as liaison with Depts. of Insurance, including domicile regulator in Missouri.
  • Develops, supports, or participates in compliance processes, including processes to ensure compliance with various state Department of Insurance regulations and local filing requirements.
  • Responsible for insurance legal records management, including the organization and maintenance of legal work product, advice, opinions, correspondence and other documents or records.
  • Conducts legal research to resolve transaction, corporate governance, or compliance related issues, including monitoring, analyzing, and communicating regulatory changes. Includes the analysis of statutes, regulations, cases and other sources for answers to multi-issue questions posed by an attorney and provides the results of the analysis either orally or by written communication. Research will likely include insurance-specific requirements in 50 U.S. states and internationally, including financial risk management, corporate reporting, loss reserving, actuarial requirements, insurance policies, insurance sales and claims practices, insurance forms, ratemaking, underwriting requirements, consumer notifications, statutory accounting, insurance investment requirements, board notifications and appointments.
  • Collaborates with a team of paralegals to ensure support for other Caterpillar businesses, as needed.
  • If supporting a transaction practice, prepares legal documents for U.S. and non-U.S. financing and insurance as well as commercial transactions with oversight by attorneys.
  • Gathers information and performs analysis for document preparation, which can involve complex issues.
  • Administers and leads departmental projects, which may be required from time to time. Also participates in accomplishment of continuous improvement objectives. Participates in the identification of problem areas and development of resolutions to address them.
  • Understands the anti-harassment policy of the company and is responsible for its application in all aspects of employment.

Basic Requirements:

  • A 4-year college or university degree, including an ABA Certified Legal Assistant School Paralegal Certificate is recommended but not required. Equivalent experience may be substituted for education.
  • A minimum of 4 years of experience in an insurance compliance or related role preferred.

  • Advanced knowledge of insurance industry, insurance companies and their regulatory requirements.
  • Advanced knowledge of corporate governance and procedures involving insurance business units.
  • Advanced ability to research legal issues supporting the business of insurance.
  • Demonstrated negotiation skills.
  • Advanced ability to draft letter, contracts, and other legal documents.
  • Demonstrated knowledge of and ability to apply problem-solving and decision-making skills.
  • Demonstrated knowledge of insurance laws and regulations governing Caterpillar’s insurance operations.
  • Demonstrated knowledge of basic contract law.
  • Demonstrated ability to work independently, as well as part of a team.
  • Demonstrated ability to locate and analyze facts to determine relevance.
