POSITION GOAL

This position provides support to the General Counsel with regard to contract reviews, franchise matters, compliance, litigation support, mergers & acquisitions, general legal support, and other duties as assigned.

KEY RESULT AREAS

Key Result Area #1 – CONTRACT REVIEWS


    • Drafts contracts for various purposes as business needs dictate.
    • Reviews and edits contracts prepared by third parties in response to business needs.
    • Successfully negotiates contract provisions with third parties to achieve both balance and Coverall protection.
    • Satisfies business-related time frames with regard to contract reviews and execution.
    • Trains paralegals on contract review matters as needed.


Key Result Area #2 – FRANCHISE
MATTERS


  • Supervises preparation and filing of FDDs and all exemptions for annual renewals and any material amendments throughout the year as required.
  • Formulates and executes the most effective methods to obtain data from the Coverall Support Centers and Master Franchise Offices annually.
  • Supervises compilation of data from all Coverall and Master Franchise Offices annually in order to calculate annual sales of franchises for FDD updates.
  • Supervises the organization and distribution of FDD updates and/or amendments to all Regional Offices, Master Owners, employees, and state examiners in a timely manner.
  • Supervises preparation of franchise termination agreements and transfer agreements.
  • Supervises submission of all updates and/or amendments to translators for all FDD’s and other documents as needed to ensure that the applicable language version is an exact duplicate of the current English language version at all times.
  • Supervises distribution of the foreign language versions to the appropriate Regional Offices in a timely manner.
  • Reviews, comments on, and files franchise-related marketing materials.
  • Continually monitors/consults the Federal and State laws which govern FDD preparation and registration to ensure the Coverall’s FDDs are in compliance with applicable statutes and regulations.
  • Interacts with franchise outside counsel as needed.
  • Informs the General Counsel of, and works to resolve, any compliance issues with the registration and exemption filing of all FDDs.
  • Support franchise dispute resolution efforts.
  • Work with outside counsel in resolving franchise related questions.
  • Evaluate and support franchisee approval processes as needed.


Key Result Area #3 – COMPLIANCE


  • Works with the General Counsel to investigate and assess corporate compliance.
  • Designs and implements, with the General Counsel’s and Executive Leadership’s approval, a robust corporate compliance strategy.
  • Monitors and audits compliance on an ongoing basis and adjusts corporate requirements as needed, with the approval of Executive Leadership.

4 – GENERAL CORPORATE LEGAL SUPPORT


  • Supports the General Counsel and Executive Leadership in litigation matters.
  • Supports the General Counsel and Executive Leadership in merger and acquisition matters.
  • Monitors and maintains Coverall trademark registrations and other intellectual property / manages outside intellectual property counsel relationships.
  • Identifies and researches legal issues as needed and requested.
  • Works on various miscellaneous matters and projects as assigned by the General Counsel.


EDUCATION, KNOWLEDGE, SKILLS AND COMPETENCIES

  • Law degree and a minimum of 3 years’ experience in corporate legal environments.
  • Law firm, franchise business, and merger/acquisition experience strongly preferred.
  • Strong business acumen.
  • Familiarity with and competence in legal research services (Lexis, Westlaw, and the like), general internet services, and reference materials.
  • Excellent verbal and written communication and interpersonal skills.
  • Strong independent, unsupervised work ethic.
  • Ability to work both in office environments and remotely.
  • Ability to properly handle and maintain sensitive and confidential information.
  • Independent organization and time management skills; detail oriented.
  • Ability to prioritize and complete multiple complex assignments and coordinate workflow.
  • Thorough working knowledge of computer software including MS Word, Excel, Power Point, Adobe Acrobat Professional, Outlook, and other database programs.
  • Effective planning, problem solving, and analytical skills.
  • Excellent judgment and tact.

The environmental factors/and or physical requirements of this position include the following:

  • While performing the duties of this job, the employee is required to have ordinary ambulatory skills sufficient to visit potential customer locations; and the ability to stand, walk, stoop, kneel, crouch and manipulate (lift, carry, move) light weights up to 10 pounds with or without reasonable accommodation.
