Position Summary

Reporting to Signet’s VP, Associate General Counsel & Corporate Secretary , this position is responsible for assisting the legal group with entity management, corporate transactions, equity management and governance documentation.

Major Responsibilities/Essential Functions
  • Assist with preparing Board and Committee schedules, materials, agendas, resolutions, minutes and reports, and assist with meeting administration and attendance tracking.
  • Assist with annual update of corporate governance documents, including policies, guidelines and Board committee charters.
  • Support the Corporate Secretary and the Board of Directors; respond to director requests, including research projects, as they arise.
  • Oversee payment of corporate governance invoices, including vendor set up and assistance with preparing and tracking the Corporate Secretary budget.
  • Communicate and process data with various other external (ex. CT Corp, transfer agents, due diligence and KYC requests) and internal sources (e.g. Finance, Accounting, Human Resources, and Tax).
  • Assist with public company compliance including NYSE filings and notices, and Section 16 reporting with the Securities and Exchange Commission.
  • Assist with maintaining global subsidiary books and records, including drafting resolutions, updating internal filing/tracking systems, and tracking/maintaining compliance with required governmental filings.
  • Assist with strategic projects for the Company, as directed by attorneys.
  • Assist with equity matters, including tracking of equity plan and treasury shares.
Position Qualifications
  • Education: Bachelor’s degree; Paralegal Certificate from an accredited program preferred.
  • Acceptable Job-Related Experience: Minimum 5 years’ experience working as a corporate paralegal in a law firm or the legal department of a U.S. public company.
