Job Description Summary:

Community Health Center, Inc. Title of Position: Associate General Counsel

Title of Supervisor: VP, General Counsel of Moses-Weitzman Health System (parent company)

Exemption Status: Exempt

NATURE OF POSITION:

Provides day-to-day legal advice and counsel to CHC. Responsible for planning, overseeing, and managing the legal matters for CHC. Ensures organizational activities and strategic matters meet legal and regulatory requirements. Manages CHC Legal Department staff. Member of Executive Leadership Team.

QUALIFICATIONS:

Education : J.D. from an ABA-accredited law school required.

Experience : At least 5 years of experience practicing law in a large law firm, government agency, or as in-house counsel. Demonstrated experience in healthcare, contracts (including grants), and regulatory compliance.

Licenses/Certificates/Registration : Licensed to practice law in Connecticut and member in good standing of the Connecticut Bar.

WORKING CONDITIONS AND PHYSCIAL REQUIREMENTS:

Ability to work at a computer terminal for extended periods of time daily. Physical requirements for this position include: hearing, seeing, speaking, fingering, and repetitive motions. This position requires sitting for long periods of time; walking and/or standing is only required occasionally, although standing and walking frequently are encouraged. This position requires exerting up to 10 pounds of force and/or an insignificant amount to lift, carry, pull, or move objects.

GENERAL DUTIES

  • Works closely with the VP General Counsel of Moses-Weitzman Health System (parent company) to coordinate all legal activities.
  • Oversees and manages delivery of legal services and resources, including the selection, retention, management and evaluation of outside counsel, to facilitate and accomplish CHC’s goals, initiatives, strategies and priorities.
  • Provides counsel on legal, business and operations matters to CHC’s Chief Executive Officer, senior management and other decision making or executing groups and individuals.
  • Attends meetings of CHC’s Board of Directors and advises the Board in legal matters as requested.
  • Coordinates CHC’s response to all legal matters affecting the organization, including monitoring and managing any litigation, administrative actions, disputes and demands.
  • Interprets and ensures compliance with applicable laws, rulings, regulations, and contracts for the organization, as well as conducting research and analysis of specific legal questions and preparing or coordinate outside counsel’s the preparation of memoranda, opinions and position papers.
  • Chairs the Risk Management Committee and works closely with other leadership members in developing and maintaining an effective risk management program.
  • Works cooperatively with the Compliance Officer on all aspects of the Compliance Program and participates actively in the assessment of HIPAA issues.
  • Performs internal investigations when warranted or advises staff on how to perform such investigations.
  • Drafts, negotiated, reviews and revises contracts for CHC and oversees CHC’s contracting process and use of the contract management system.
  • Develops, communicates, and monitors CHC’ policies and procedures for the organization's standards of legal conduct.
  • Manage and monitor all Federal Tort Claims Act (FTCA) matters, communicate with HRSA and DOJ staff as necessary for such claims, and ensure timely submission of annual redeeming application under the FTCA.
  • Provides or coordinates counsel to Human Resources Department on legal issues involved in terminations, disciplinary actions, diversity and equal employment opportunity.
  • Keeps abreast of legislative changes that may affect the organization and recommends opportunities or required changes to take advantage of or ensure compliance with new legal and regulatory changes.
  • Manage and supervise all CHC Legal Department staff.
