Legal.io is working with a top-tier fintech technology company to hire Capital Markets Counsel.

This is a remote, contract position. It will last 6 - 12 months.

What You’ll Do:

Draft and negotiate agreements in connection with capital markets offerings and work closely with Treasury and Finance teams in managing debt and equity offerings

Assist with 1940 Act matters

Ensure compliance with our credit facility and lines of credit

Coordinate due diligence matters.

Assist on drafting, reviewing and filing SEC filings, including 10-Ks, 10-Qs, 8-Ks, S-8s, Form SDs and Section 16 filings.

Work closely with Investor Relations, Treasury, and Accounting teams on public company matters.

Collaborate with the Company’s finance, accounting, investor relations, and communications teams on external disclosures, such as earnings releases, press releases, whitepapers and SEC filings.

Help manage and administer certain governance policies, including the Company’s Insider Trading Policy and 10b5-1 plans.

Ensure compliance with SEC and NYSE rules and regulations.

Assist with special corporate projects

Required Qualifications:

5+ YOE

Relevant professional experience in a law firm and/or in-house setting

Expertise in the securities laws and the 1933 and 1934 Acts

J.D. degree

Membership in at least one state bar

Role Details:

Duration: 6 month contract, with possibility to extend to 12 months

Hours: 40hrs/week

Start Date: April 2022
