We’re also actively working to combat the spread of COVID-19 through new programs like Healthy at Work.

DESCRIPTION

As a Commercial Counsel for Verily, you will work directly with a team of experts from the fields of biology, engineering, computer science, health economics and more on commercial transactions that support groundbreaking projects.

RESPONSIBILITIES

Integrate with the Verily team and work closely with product counsel and patent counsel to support company initiatives.
Advise clients on complex deal structures, contractual legal issues and risks, company approval processes, company policies and procedures and negotiation strategy.
Review, draft and negotiate a broad range of agreements to meet the diverse needs of the team. This includes licensing, collaboration, clinical study, data use, co-development, strategic partnership, joint venture, supply/manufacturing, inbound services agreements, confidentiality agreements and more. Negotiate agreements that comply with Verily’s policies and risk tolerance.
Respond promptly to legal requests from science, engineering and business clients, summarizing and communicating legal concepts that clients can understand and use.
Support the continuous improvement of standard form agreements and legal processes for Verily.

QUALIFICATIONS

Minimum Qualifications:

JD degree or equivalent education.
Licensed to practice law in a US jurisdiction.
10+ years of experience in tech transactions.

Preferred Qualifications:

Demonstrated experience in a law firm or in-house legal department, providing legal support for life sciences transactions and advising science and engineering teams on structuring IP and commercial deal terms.
Experience with joint venture deal structures and issues in the life sciences industry.
Strong communication skills and experience collaborating with cross-functional teams.
Strong organizational skills and the ability to manage high volume of requests.
Ability to be flexible and self-directed in a fast paced environment with limited direction.
Ability to balance competing priorities and manage several time-sensitive projects at once.
