Responsibilities

GENERAL SUMMARY:

BellRing seeks a highly motivated attorney with securities compliance and broad capital and commercial transactional experience to serve as Senior Counsel & Assistant Corporate Secretary. As Senior Counsel & Assistant Corporate Secretary, you will work with the General Counsel to manage SEC reporting and disclosure matters, corporate governance and capital matters, advise company executives and the BellRing Board of Directors and lead special projects and tasks as assigned. We are seeking applicants who have a passion for what they do, can collaborate effectively across groups and can anticipate and initiate routine legal tasks independently.  The successful candidate will be collaborative, analytical, flexible and proactive.  This role is based at the BellRing Brands corporate headquarters in St. Louis, Missouri.  Travel is estimated to be minimal.  This role reports to the Senior Vice President, General Counsel and Corporate Secretary.

This position will be based remotely {if incumbent is outside St. Louis, MO} with several trips to our St. Louis, MO office expected 15% of the time.

KEY RESPONSIBILITIES:

  • Lead securities law compliance and SEC reporting, including quarterly reporting, disclosure controls and procedures and annual proxy statement, and advise on disclosure matters
  • Together with the Corporate Secretary, advise the Board of Directors and executive team on a wide range of legal matters, including corporate governance, SEC compliance and reporting requirements, and Board oversight and responsibilities
  • Advise on treasury matters, including capital markets transactions, stock repurchases and hedging programs
  • Drive strong corporate governance and related processes for operating companies, including implementing relevant corporate policies and record-keeping
  • Assist in end-to-end process for M&A transactions, including integration activities
  • Advise on compliance for a broad range of general regulatory matters, including anti-bribery and anti-corruption/FCPA, privacy and data management, records retention, and cross-border trade
  • Identify, manage, and resolve legal issues in a manner consistent with the company's business philosophy and strategy, and in compliance with legal and regulatory requirements
  • Collaborate across all functions to deliver sound and actionable legal advice to effectively achieve business objectives while protecting the company's interests

Assist where needed on other legal matters and manage other legal functions from time to time, as determined by the General Counsel

Qualifications

QUALIFICATIONS AND KEY CAPABILITES:

Education and Experience:

  • Juris doctorate (or equivalent) from an accredited law school; admitted to at least one state bar in the U.S.
  • 7+ years overall legal experience, with 7+ years of demonstrated knowledge and experience advising publicly traded companies on SEC filings and other public disclosures, corporate governance, board and shareholder items, and securities law compliance matters
  • Strong securities and corporate law background, including demonstrated knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, NYSE and Sarbanes-Oxley requirements, and corporate governance principles for publicly traded companies
  • Significant experience preparing corporate filings, including SEC filings
  • Strong preference for significant in-house experience with a U.S. public reporting company
  • Experience advising public company board of directors and senior executives regarding governance and securities issues
  • Experience advising on anti-bribery and anti-corruption/FCPA, privacy and data management, records retention, and cross-border trade matters preferred
  • Experience advising on capital market transactions and M&A transactions a plus

  • Proficient with technology, including Microsoft Office 365 (Word, PowerPoint, Excel, Outlook, Teams); experience working with Workiva, board portals and legal matters management tools a plus

Work Environment:

  • Remote position with periodic travel to St. Louis, Missouri and otherwise for meetings required
