We currently have an opening at our Foothill Ranch, CA (Orange County) facility for a Corporate Paralegal. The Corporate Paralegal should be goal-oriented, highly-organized, enjoy problem-solving, and be able to effectively manage competing deadlines. Essential Duties and Responsibilities:

  • Support financing and strategic transactions, including drafting subscription documents, assisting with due diligence, and maintaining data room
  • Prepare documents for board and shareholder meetings, resolutions, consents and mailings
  • Prepare and review legal documents, including stock transfer agreements, audit responses, and non-disclosure agreements
  • Support oversight of equity incentive program to efficiently manage all option grants, related agreements and paperwork, and employee portal
  • Manage legal and corporate records electronically and ensure compliance
  • Prepare initial drafts of corporate filings for parent company and subsidiaries
  • Effectively communicate with General Counsel, internal departments, and shareholders
  • Prepare memos and conduct legal research
  • Create, revise, format, edit, manipulate, and compile Word, Excel, and PDF files
  • Manage document processing and record-keeping
  • Field in-bound communications to appropriate parties for response
  • Circulate and track documents for electronic signature
  • Create and manage mail merge source documents and form templates
  • Be a pivotal member of the legal department 

 

Required Skills:

  • 3-5 years of experience as a Corporate Paralegal
  • Ability to work independently, manage workload in a fast-paced environment, and keep deadlines
  • Strong attention-to-detail, organizational skills, and typing skills
  • Excellent verbal and written communication skills
  • Ability to think and work proactively
  • Strong knowledge of Microsoft Office, including Word and Excel
  • Strong knowledge of Adobe PDF
  • Experience with DocuSign, Box, Zoom, SharePoint, and Confluence
  • Experience with InvestmenTrax and OptionTrax a plus
  • Notary Public a plus

 

Education:

Required Education:

  • ABA-compliant Paralegal Certificate

Preferred Education:

  • Bachelor’s degree
