OVERVIEW

The Sunrun Legal Team is seeking an experienced, meticulous, and energetic individual to work as a Senior Paralegal. Under the supervision of attorneys on the Legal Team, you will work to provide a wide range of support on project finance and corporate matters.

*This role is open to remote candidates. San Francisco or Lehi, Utah is preferred

RESPONSIBILITIES

  • Perform subsidiary portfolio management and maintenance, including entity formations, dissolutions, foreign qualifications, and applications for EINs.

  • Create, implement and maintain organizational systems for corporate and project finance documentation, including entity formation documents, board and committee minutes, written consents and resolutions, and financing closing sets.

  • Assist with gathering information for public company filings, including SEC filings of the proxy statement, Section 16 reports, Form 10-Q, Form 10-K, and Form 8-K.

  • Assist in the drafting and proofing of board and committee minutes, agendas, calendars, written consents and resolutions, and certificates and other standard form documents for financings.

  • Assist attorneys with preparation of materials, logistics and minute book record keeping for all board and committee meetings.

  • Assist with corporate transactions, including due diligence, data rooms, and liaising with local counsel.

  • Prepare statutory filings and coordinate with local counsel, tax group, and finance group on various financial and legal reporting matters.

  • Prepare execution copies of agreements and governance-related forms, and arrange for signature and filing with the appropriate entities, as applicable.

  • Assist and work cohesively with attorneys, paralegals, and other professionals across the Legal Team, as well as local counsel and their teams.

  • Leadership and management of key governance relationships and associated workstreams, including those with Legal Team vendors and Company auditors.

  • Other duties/responsibilities as needed and assigned.

QUALIFICATIONS

  • Minimum of 4-7 years’ experience in a corporate and/or finance paralegal role.

  • Bachelor’s Degree preferred. Paralegal school/paralegal certificate not required. Experience in both law firm and in-house roles is a plus. Active CA or UT notary public commission is also a plus.

  • Meticulous organizational skills with a keen eye for detail, completeness and accuracy.

  • Excellent verbal and written communication skills.

  • Extensive experience in multitasking projects, workloads, managing relationships with internal and external stakeholders, and competing priorities.

  • Fluent in information technology, software, and systems, including, for example, Microsoft Office, Google Suite, Adobe Acrobat, DocuSign and databases.

  • Experience with project management across teams and executing on strict deadlines.
