The Role

As a Corporate Governance Specialist the incumbent is expected to have extensive knowledge and experience as a management paralegal. This role is in our SEC, Treasury and Governance organization and reports directly to the Corporate Secretary.

Job Description

Roles and Responsibilities:

  • Support corporate governance processes, including general recordkeeping, preparation of board and committee meeting agendas, presentations, resolutions, consents, minutes and other materials as required
  • Maintain and populate electronic board portal for board meetings
  • Engage directly with Board of Directors as required
  • Liaise with internal and external counsel as needed
  • Prepare corporate governance portion of proxy statement and work in coordination with other internal teams, outside counsel and external vendor to finalize
  • Assist with logistics, mechanics and preparation for annual shareholder meeting

Qualifications:

  • 2+ years corporate governance experience at large, publicly traded company
  • Strong skills in the following areas: organizational, interpersonal, time management, analytical, written and verbal communications
  • Ability to work independently and as part of a team
  • Ability to effectively prioritize a large volume of confidential and time-sensitive work with short deadlines when required
  • Ability to anticipate/calendar upcoming deadlines and communicate to team member
  • Exceptional level of accuracy and attention to detail
  • Ability to learn on the job and develop new approaches
  • Experience using electronic board platform such as Diligent preferred
