Funds Lawyer (M&A)

Our client is seeking a highly motivated lawyer to assist with all legal and regulatory matters related to the management of its various new and ongoing M&A initiatives. Supports the growth of all business lines. You will provide guidance and direction reflecting sound and ethical judgment, strategic vision and substantive legal knowledge and expertise. The ideal candidate will also have exceptional communication and project management skills, as well as the ability to thrive in a dynamic work environment. Key Responsibilities

• Support deal team for M&A transactions, including public and private entity acquisitions, as well as other strategic growth initiatives
• Participate in strategic and tactical decision-making and assumes a lead role in negotiating terms of M&A transactions
• Draft and negotiate a wide variety of agreements, including confidentiality agreements, investment banking and outside advisor engagement letters, definitive purchase and sale agreements, stock purchase and merger agreements, joint venture agreements.
• Provides counsel to executive management on all legal aspects related to contemplated transactions
• Manage outside law firms
• Collaborate closely with other teams including operations, finance, risk, tax, technology and IP, HR

Desired Skills and Experience ● 5-10 years of M&A experience practicing law preferably both in-house and with a law firm ● Sharp intellect and experience in forging proactive, pragmatic and imaginative legal solutions that will advance business goals; ● Private equity and corporate finance experience highly desirable ● Strong ability to communicate (in oral and written form) at all levels internally and externally; ● Proven ability to work effectively with cross-functional teams (internal and external); and ● Ability to prioritize and focus on critical tasks that add value.
