Director, Corporate and Compliance Legal

We are looking to add a superstar to be our dedicated corporate and compliance counsel, who will drive all corporate and securities matters, and ensure we have a robust and public-company-ready compliance program.  This role will also offer the opportunity to hone and apply skills in other legal areas, including commercial, intellectual property, and legal operations.

What you'll do

  • Manage corporate legal matters, including corporate governance, private and public financing, M&A, securities law compliance, and equity administration.
  • Help lead public company readiness projects; prepare and manage all aspects of a potential public listing.
  • Oversee board meeting processes and documentation. 
  • Provide support and advice relating to the Company’s expanding international operations.
  • Create and manage corporate subsidiaries.
  • Ensure the Company remains compliant with all applicable corporate and securities laws and regulations, including potential future SEC requirements.
  • Build and maintain a robust, public company-ready corporate compliance program.
  • Drive the legal compliance “roadmap,” identifying compliance priorities, overseeing the Company Code of Conduct, project-managing new initiatives, and creating compliance-related tools.
  • Nurture an internal “culture of compliance” that affirms that the Company follows the rules, keeps our employees safe, and respects the rights and values of our customers.
  • Support internal investigations of potential compliance issues; create and deliver compliance policies and training.  
  • Build and maintain processes and infrastructure, such as playbooks, templates, metrics, and self-serve tools, to help scale the legal function.
  • Assist with other legal matters, including commercial, intellectual property, and legal operations.

Who you are

  • You have a JD or foreign equivalent with membership in at least one state bar.
  • You have 10+ years of legal experience, with a mix of in-house and law firm experience advising SaaS or other technology companies, preferably including experience taking a company public and advising on corporate compliance.
  • You have deep knowledge of corporate and securities law, with IPO experience preferred; a strong understanding of compliance program development and implementation; excellent communication and relationship-building skills; high integrity; and an ability to balance strategic thinking with attention to detail
  • You’re flexible, resourceful, and solution-oriented. While focused on your areas of expertise, you are interested in developing a generalist’s approach to in-house legal practice, so you aren’t afraid to work in new areas.
  • You are excited to help a growing company define its legal identity, to build process and repeatability where it is lacking.  You’re both comfortable saying you don’t have the answer, and confident that you can then go find it.

Compensation awarded to successful candidates will vary based on their work location, relevant skills, and experience.

For work locations in the San Francisco Bay Area, New York City, and Los Angeles, the base salary range for this role is:

$264,000 - $373,900 USD

For all other work locations (including remote), the base salary range for this role is:

$237,600 - $336,500 USD
