Ovintiv’s Legal Services team is seeking a Senior Attorney or Counsel - Securities and Corporate Law - to join our team. Ovintiv is a Delaware company listed on the NYSE and TSX, with assets and operations in the U.S. and Canada. The successful candidate will be responsible for proactively leading legal work associated with public company governance, corporate securities, and corporate finance and compliance matters. This role will have the opportunity to engage in matters with broad company impact.

This position can locate in Denver, Colorado or The Woodlands, Texas.

Responsibilities:

  • Reporting directly to the Deputy General Counsel, develop and guide legal strategies in support of company goals.
  • Responsible for day-to-day securities law matters, including SEC reporting and Canadian securities law matters with the assistance of regional resources.
  • Collaborate with corporate secretarial team on board and annual meeting preparations.
  • Assist in drafting and reviewing public disclosures and corporate communications, including earnings releases and press releases.
  • Provide legal advice and support on equity plans, executive compensation and related matters.
  • Ability to support M&A and other strategic transactions.
  • Partner with cross-functional internal teams on various corporate projects.
  • Help to develop, implement and continually improve company and team processes and procedures.

Qualifications:

  • J.D. and current bar admission in good standing (Colorado or Texas preferred).
  • Four or more years of securities and corporate law experience. Energy industry experience is preferred.
  • Demonstrated legal acumen, analytic rigor, business sense and a strong work ethic.
  • The ability to work cross functionally with various teams across the organization, including treasury, business development, finance, tax, IT, human resources and compliance.
  • Ability to find solutions to complex problems and work well under pressure.
  • Strong written, oral communication and organizational skills.
  • Flexible and agile with an ability to manage multiple projects simultaneously.
  • Understanding and appreciation of the business value of diversity and inclusion, humble and authentic, and a great sense of humor.
  • A personality that contributes to comfortable interactions and connectivity with executives and seasoned professionals.
  • Ability to travel internationally, primarily to Canada.
  • Legally eligible to work in the U.S.
