Posted Sep 25 Full TimeHybridSkokie, Illinois The General Counsel acts as chief legal officer of the organization, responsible for all company legal activities and providing strategic legal advice to the executive team and board of directors. This role provides strategic guidance, consultation, and support to the organization on a comprehensive range of legal and associated issues involved in carrying out the mission and vision of Visual Comfort & Co. The General Counsel ensures the company's legal interests are protected and all business practices, policies, and dealings comply with relevant
laws and regulations.
Responsibilities:
Legal Strategy and Compliance:
- Provide oversight and leadership for all legal needs of the company, advising across multiple business
- functions.
- Develop and implement legal strategies which align with the company's business objectives.
- Ensure the company complies with all applicable laws, regulations, and industry standards.
- Monitor changes in laws and regulations which may affect the company and provide timely updates to
- management.
Corporate Governance:
- Advise the board of directors and executive management on corporate governance matters.
- Oversee the preparation and review of board materials, minutes, and resolutions.
- Ensure compliance with corporate governance requirements.
Risk Management:
- Identify, assess, and manage legal risks facing the company.
- Develop and implement strategies to mitigate legal risks.
- Oversee internal audits and investigations and manage any external investigations or litigation.
Contract Management:
- Oversee the legal aspects of the rapidly expanding portfolio of real estate leases.
- Review, draft, and negotiate a wide range of commercial agreements and contracts.
- Establish and maintain contract management systems to ensure compliance with contractual obligations.
Litigation and Dispute Resolution:
- Oversee and manage all litigation, arbitration, and other dispute resolution processes.
- Select and manage outside counsel when necessary.
Employment Law:
- Provide counsel on employment-related matters, including hiring, termination, and workplace policies.
- Ensure compliance with labor laws and regulations.
Intellectual Property:
- Protect the company’s intellectual property rights, including patents, trademarks, and copyrights.
- Manage IP litigation and licensing agreements.
Mergers and Acquisitions:
- Provide legal support for mergers, acquisitions, joint ventures, and other strategic transactions.
- Conduct legal due diligence and oversee integration processes.
Policy Development:
- Develop and implement company policies and procedures to ensure legal compliance and best
- practices.
- Educate employees on legal matters and corporate policies.
Leadership and Management:
- Foster a culture of ethical behavior and compliance within the organization.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and admitted to the state bar.
- Minimum of 10 years of legal experience, with significant experience in a corporate legal department
- or law firm. Prior experience as a General Counsel or in a senior legal role is preferred.
- Public company legal experience is preferred including experience in supporting all aspects of securities
- law compliance and SEC reporting/disclosure requirements.
- Proven track record and previous demonstrated ability to manage legal matters and provide strategic
- counsel in a rapidly changing environment.
- Subject matter expertise in international manufacturing and sales industries a plus
- Strong understanding of corporate law, contract law, employment law, and intellectual property law.
- Confident, enthusiastic, and persuasive communication style. Excellent written and verbal
- communication skills with the ability to translate “legalese” to common terms and plain language.
- Effective leader and proven executor with a mature sense of priorities and solid practical experience.
- Proven ability to manage complex legal matters and provide strategic legal advice.
- Strong leadership and management skills.

Compensation Range: $300,000-$350,000
