Team Intro
The TikTok USDS Legal & Compliance team manages and oversees legal, privacy, and regulatory matters pertaining to TikTok USDS's operations. We collaborate cross-functionally and globally to address some of the most complex and intriguing issues in privacy and data security. To help our business, and corporate & functional services teams enable their vision by providing integrated legal guidance and support, we are seeking a bright and capable Commercial Transaction Counsel. The ideal candidate will not only be adept at providing legal guidance, but will also be business-savvy, understanding USDS's overarching goals and objectives. This attorney will partner with the business on general commercial and procurement matters and be responsible for negotiating, drafting, and implementing agreements with TikTok USDS's Procurement Vendors.
In order to enhance collaboration and cross-functional partnerships, among other things, at this time, our organization follows a hybrid work schedule that requires employees to work in the office 3 days a week, or as directed by their manager/department. We regularly review our hybrid work model, and the specific requirements may change at any time.
Responsibilities
- Provide strategic counsel and proactively lead the review and negotiation of a broad range of commercial agreements with a strong focus on technology licensing, SaaS and professional services agreements.
- Contribute to the improvement of current processes and procedures, such as by creating templates and developing legal trainings and playbooks.
- Identify and assess legal risks associated with commercial agreements and provide actionable advice to mitigate those risks
- Provide timely and practical guidance on risk management, internal policy compliance and contractual obligations.
- Develop strong, collaborative relationships cross-functionally and within the legal team, including with strategic partners such as security, procurement and finance to ensure alignment and compliance with company objectives, contractual obligations and regulatory requirements.
Qualifications
Minimum Qualifications
- J.D. degree from ABA accredited law school (or foreign equivalent) with membership in good standing in a US state bar
- 3+ years of experience in commercial transactions, with a focus on the technology industry
- Experience in an in-house legal department specializing in technology transactions
- Outstanding communication (verbal and written) and interpersonal skills, capable of influencing and working collaboratively with various teams
- Strong relationship-building skills
- High level of integrity, professionalism, and attention to detail

【For Pay Transparency】Compensation Description (annually) The base salary range for this position in the selected city is $133000 - $228000 annually. Compensation may vary outside of this range depending on a number of factors, including a candidate’s qualifications, skills, competencies and experience, and location. Base pay is one part of the Total Package that is provided to compensate and recognize employees for their work, and this role may be eligible for additional discretionary bonuses/incentives, and restricted stock units.
