Senior Corporate Paralegal

We are looking for a Senior Corporate Paralegal to support a legal team focusing on corporate governance and securities matters. The position will report directly to the Senior Corporate Counsel, Corporate Governance & Securities, but will work very closely with other team members, internal clients, and the SVP & Associate General Counsel.
The successful candidate will be extremely detail-oriented, responsive in a fast-paced environment, and able to juggle competing priorities. A go-getter with a keen sense of judgment, strong organizational skills, positive attitude, and a sense of humor would excel in this role.
Our team adopts a hybrid work model with a minimum of three days a week in our breathtaking, collaborative offices in San Francisco and up to two flexible remote workdays a week.
Responsibilities:
- Support Board and Committee meetings, including coordination of on-site meetings and the preparation of meeting agendas, materials, resolutions, minutes, and executive summaries.
- Manage various domestic subsidiary matters, which may include formations, dissolutions, drafting of governing documents, and state/jurisdictional filings.
- Prepare and review D&O questionnaires and related party updates.
- Assist with director and officer onboarding and off-boarding.
- Assist with document production for SOX compliance, internal audits, and other special projects.
- Provide information and organize detailed records for SEC filings, including the Proxy Statement and Forms 10-K and 10-Q.
- Prepare and file executive officer "Section 16" filings.
- Assist with securities matters, including releases of restricted stock and related opinions, often in support of mergers and acquisitions.
- Help develop, implement, and continually improve policies, processes, and procedures.
Qualifications:
- At least five (5) years of applicable experience as a paralegal in corporate, securities and/or M&A practice areas, preferably with a top-tier law firm or in-house legal department at a large company.
- Ability to multi-task, prioritize, and be extremely detail-oriented and responsive in a fast-paced environment.
- Strong written and oral communication skills.
- Demonstrated knowledge of public company governance requirements, organizational documents, and corporate entity structures.
- Team player who wants to both teach and learn, takes initiative, and can quickly pivot tasks throughout the day.
- Ability to build positive relationships with executive management, outside directors, other legal teams, and administrative staff as necessary to perform duties and achieve goals.
- Ability to use, or quickly learn, Diligent Boards, iManage, Quip, Docusign, Adobe, and Google Workspace programs.
