What You Will Do
As a Corporate Paralegal, you will directly support GEP's General Counsel and Senior Paralegal with a focus on corporate governance. This role offers a unique opportunity to further develop your paralegal profession in a part-time capacity, working 30 hours per week in a hybrid work schedule. You will work closely with our Senior Paralegal and the GEP Legal Department at the company’s Global Headquarters in Clark, NJ. This position requires at least 2-3 years of corporate governance experience with a global corporation and will offer meaningful hands-on work opportunities, training, mentoring, and interaction with company leaders, providing valuable development resources to enhance your career as a corporate paralegal.
Work performed in office, under the guidance of the Senior Paralegal, will include:
- Receiving software training in SharePoint, DocuSign and our entity management software and other necessary programs
- Document management of our global corporate governance records via our minute book, entity management software and physical records
- Responsible for maintaining and updated information on our global leases
- Responsible for handling various global corporate projects involving securing notarizations, preparing and submitting documents for apostille, obtaining signatures from company signatories including management, etc. Assist the general counsel with high level matters such as preparing and executing documents relating to formation or dissolution of entities, and preparing documents for M&A Digitizing of corporate records
- Providing backup support to paralegal team for PTO coverage and high-volume days
- Assist in file cleanup and review documents for either filing, archiving or destruction
- Occasional administrative work such as scanning, printing, copying, and preparing FedEx packages
Work performed at home, under the guidance of the Senior Paralegal will include:
- Gaining additional document management experience via our entity management software with unlimited training provided by the vendor to maintain our digitized centralized corporate records repository. Data entry of information about our company and worldwide entities
- Ensure all corporate records are complete and reminders are sent
- Utilizing organizational and time management skills to meet priorities and deadlines
- Assisting in the preparation and filing of corporate compliance documents
- Using DocuSign to execute corporate documents or as backup support to paralegal team
What You Should Bring
- 2-3 years of paralegal experience in corporate governance: Proficiency in maintaining minute books, reviewing various corporate documentation, and entering data into entity management software. Experience in the formation and dissolution of entities is helpful
- Experience securing signatures: Ability to obtain signatures from company leaders and handle high-level corporate projects to support the General Counsel
- Notary Public experience: Experience as a Notary Public is helpful for this position
- Educational background: A certificate or degree from an ABA-approved Paralegal Studies program is preferred. Law school students or J.D. holders need not apply
- Eagerness to learn: Demonstrated willingness and enthusiasm to learn and grow in the role
- Organizational and analytical skills: Strong organizational skills with the ability to apply analytical skills in corporate governance tasks
- File management skills: Proficiency in utilizing file systems effectively
- Basic MS Office capabilities: Competence in Word, Excel, and Outlook. Experience with Teams and DocuSign is helpful
- Team collaboration: Ability to perform well in a team setting with a positive attitude and willingness to work under the direction of others
- Project management: Capability to manage projects with detail and accuracy under the supervision of an attorney or senior paralegal
- Communication skills: Excellent written and oral communication skills, attention to detail, and the ability to maintain a high degree of confidentiality
- Local residency: Must reside locally with a commitment to report to work on time, demonstrate good attendance, and report to the worksite a minimum of three days a week or more, depending on business needs and requirements
- Reliable internet connection: Must have a reliable home internet connection for video calls
