Simpson Thacher is seeking an experienced paralegal in general corporate transactions to support the work of the Los Angeles Corporate Department (Private Fund Formation, Mergers & Acquisitions and Banking & Credit). 

The Paralegal is responsible for performing a broad variety of work during all phases of various transactions within the practice areas. This role works under the supervision and direction of an experienced attorney.

 

Responsibilities

  • Assist attorneys with preparation of legal documents, including drafting side letters; due diligence review; subscription document and investor questionnaire review and tracking; filing documents with the SEC, distributing documents during multiple closings and related tasks

  • Complete forms required for the formation/dissolution/amendment and qualification of corporations, LLCs and partnerships

  • Organize and maintain electronic files, and paper files where necessary

  • Organize and maintain due diligence and subscription documents

  • Perform due diligence searches including UCC searches and status of entity searches

  • Utilize and manage electronic databases

  • Proofread, organize and track documents; prepare closing sets of necessary documents following completion of a transaction; organize and distribute post-closing documents

  • Assist with document/information gathering, logistics and coordination of items received

  • Maintain well organized files

  • Update document management platforms and databases and categorize documents for efficient accessibility

  • Liaise with internal departments and outside vendors

  • Perform other tasks as assigned by deal/fund teams

  • Be flexible to adjust hours to meet departmental need

 

Education

Required

  •  Associate degree required

Preferred

  • California Paralegal Certificate

 

 

Skills and Experience

Required

  • 3-5 years of paralegal experience

  • Detail oriented, with excellent organizational and communication skills

  • Able to work in a fast paced environment, both independently or on a team

  • Flexibility, time management and an ability to prioritize tasks and deadlines

  • Critical thinking and solution oriented mindset

  • Present information clearly and concisely, both verbally and in writing

  • Self-starter who can organize, plan and complete multi-task work activities

  • Ability to proofread for contextual, grammatical and spelling errors

  • Flexibility to work late and on holidays/weekends, and travel when necessary

Preferred

  • Knowledge of MS Office applications and Excel preferred

  • Experience working at an Am Law 100/200 law firm

 

Salary Information

 

Salary Information

CA Only: The estimated base salary range for this position is $80,000 to $95,000 at the time of posting.

 

The actual salary offered will depend on a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and/or from which they will be performing the job. This role is non-exempt meaning it is overtime pay eligible.
