We are seeking a dedicated and detail-oriented Paralegal to join our dynamic, cross-functional team. This critical role supports a wide range of functions, including corporate governance, regulatory compliance, entity management, M&A, litigation, insurance management, and more.
As a Paralegal, you will work both independently and collaboratively with internal departments such as finance, sales, operations, IT, and human resources, as well as external partners like outside counsel, insurance brokers, and auditors. The ideal candidate is a proactive problem solver who thrives in a mission-driven environment, demonstrates exceptional judgment, and approaches tasks with urgency, accountability, and precision.
Key Responsibilities
Legal Document Preparation & Management:
Prepare and negotiate standard contracts, including NDAs, with a focus on risk mitigation.Create and terminate legal entities; ensure timely filing of annual reports and registrations.Organize and maintain corporate governance records, including board minutes and legal filings.Support mergers, acquisitions, divestitures, and real estate transactions.Continuously improve contract management processes and implement innovative solutions to enhance efficiency.
Litigation Support
Conduct research on laws, regulations, and legal precedents.Prepare and file legal documents such as exhibits, briefs, and motions.Schedule and coordinate interviews, depositions, and meetings with clients and stakeholders.Manage evidence and documentation related to active claims and litigation.Oversee responses to subpoenas, garnishments, and discovery requests.Monitor and manage legal expenses, ensuring alignment with budgetary goals.
Insurance & Risk Management
Collaborate with insurance brokers to oversee coverage lines and policy renewals.Manage major insurance claims and coordinate recovery efforts.Process and formalize Certificate of Insurance requests and departmental workflows.Resolve minor general liability consumer complaints in collaboration with internal teams.Handle annual business license and permit renewals.Track and reconcile insurance-related expenses.
Team Collaboration
Participate in weekly department meetings and ad hoc discussions.Contribute to organizational initiatives, steering teams, and leadership development opportunities.
Qualifications
Minimum of 5 years of relevant experience; Paralegal Certificate is a plus.Strong understanding of legal documents and concepts, including NDAs, contracts, leases, and governance practices.Exceptional organizational, communication, and time management skills.Ability to prioritize tasks and excel in a fast-paced, dynamic environment.Proficiency in MS Office applications.Independent, resourceful, and highly collaborative team player.
