The Optum Legal, Compliance, and Regulatory Affairs department is seeking an Associate General Counsel (AGC) to join its Growth Legal Team to provide contracting and transactional support to the Optum Growth office. The position will primarily provide legal guidance and contracting services to OptumInsight sales leaders.

The AGC will become part of an innovative and experienced team of attorneys and legal professionals that operate in a fast-paced and deadline-oriented environment. The candidate must be able to prioritize multiple competing priorities, communicate effectively with colleagues, clients, and customers, and have desire to develop a deep knowledge of Optum product offerings. Significant contract drafting experience is a requirement, and experience working in an in-house environment will be strongly considered. The AGC will be expected to handle contracting matters from beginning to end, participate in team-wide process improvement initiatives, and provide guidance and oversight to non-attorneys and attorneys.

Primary Responsibilities

 

  • Provide transactional legal support for the OptumInsight Growth team’s sales functions by being a key drafter and negotiator of complex commercial customer contracts
  • Draft, review, revise and negotiate high volumes of complex customer agreements, from the service provider perspective, including: (i) master services and license agreements, (ii) master professional services agreements, (iii) business associate agreements, (iv) confidentiality agreements, (v) pilot agreements, and (vi) information security agreements; related statements of work, product schedules and addenda
  • Review contract language to ensure consistency/eliminate conflicts
  • Draft/update standard language for contract templates
  • Draft non-standard contract language or custom agreements based on negotiations
  • Review counterparty (e.g., client) forms/contract templates to ensure inclusion of necessary terms and conditions for the transaction
  • Identify issues in contracts/requests for proposals/documents that require escalation and engage senior legal counsel or other stakeholders as appropriate
  • Communicate risks and explain contract language and terminology (e.g., limits of liability, indemnifications, audits, etc.) appropriately for a given audience
  • Defend the company's position and rationale on contract terms
  • Meet with appropriate individuals (e.g., internal/external parties) to discuss and negotiate non-standard terms
  • Identify/recommend/engage relevant internal/external stakeholders in the contract process to problem-solve and resolve issues and approve non-standard terms
  • Engage and collaborate with internal data privacy, risk, enterprise information security, compliance and employment legal counterparts
  • Manage multiple contract priorities (e.g., assigned transactions, projects, tasks) and remain focused on key/appropriate priorities in the contracting process
  • Identify/participate in projects to suggest contract process or customer service improvements
  • Search and maintain contract records and data
  • Track and report contract status, exceptions or non-standard approvals
  • Operate proficiently within a paperless contracting process/environment

Required Qualifications

 

  • JD and bar admission, in good standing, in at least 1 U.S. state
  • 4+ years of legal experience, with specific, documented experience in contract drafting and negotiation
  • Demonstrated ability to build and maintain rapport with leaders, team members, employees, and external company contacts
  • Demonstrated ability to lead and develop customer contract templates for various products and services

Preferred Qualifications

 

  • Experience working on customer agreements in the health care industry
  • Experience working in a matrixed environment and with sales teams as part of a large in-house legal team
  • Experience working in a large law firm

The salary range for this role is $106,800 to $194,200 annually based on full-time employment. Pay is based on several factors including but not limited to local labor markets, education, work experience, certifications, etc. UnitedHealth Group complies with all minimum wage laws as applicable.
